Termos de Serviço

Estes Termos de Serviço (estes “Termos”) estabelecem os termos e condições do uso do serviço de distribuição de vídeo (o “Serviço”) fornecido pela Johnny & Associates, Inc. (a “Empresa”) para os usuários estabelecidos na área de Serviço (o “Usuário”).
A Empresa poderá estabelecer termos e condições relacionados ao Serviço de forma apartada destes Termos (incluindo termos de uso a serem aplicados adicionalmente às partes e regras operacionais notificadas separadamente) (os “Termos Individuais”, que deverão ser considerados partes constituintes destes Termos, excerto quando expressamente previsto) e o Usuário também deve usar o Serviço de acordo com os Termos Individuais. Na ocorrência de discrepâncias entre estes Termos e os Termos Individuais ou o conteúdo de outros sites, estes Termos devem prevalecer, a menos que disposto de outra forma.
Caso o Usuário tenha menos de 18 anos, este deverá ser representado por seus representantes legais para o aceite destes Termos. Os Usuários menores de 18 anos devem ser supervisionados por seus representantes legais para o uso deste Serviço.

  • ・Com exceção dos casos previstos em Lei, as taxas pagas para o Serviço não serão reembolsadas.

1. Serviço
  • 1-1 Documentos e dados relativos, etc. e suas versões atualizadas também constituem parte do Serviço.
  • 1-2 A Empresa pode inserir anúncios próprios e de terceiros em qualquer lugar do Serviço.
  • 1-3 Um ambiente de Internet é necessário para o uso do Serviço. O Usuário será responsável pela instalação e manutenção desse ambiente de Internet a expensas próprias, incluindo o ônus das taxas de comunicação e a garantia de segurança da rede.
  • 1-4 O Serviço não se destina ao uso para fins de backup e armazenamento de quaisquer dados. A Empresa não será responsável de forma alguma pela perda, alteração ou afins dos dados existentes no Serviço ou pela incapacidade de acessar, usar, carregar ou baixar dados contidos nos Serviços, excerto nos casos em que ingressos, etc. comprados pelo Usuário sejam perdidos ou tornam-se incapazes de serem utilizados por razões atribuíveis à Empresa. A Empresa tampouco será responvável em caso de exclusão da conta de um Usuário ou por alteração, interrupção or rescição dos Serviços.
  • 1-5 Partes do Serviço podem ser fornecidas mediante o pagamento uma taxa e os preços e as condições de pagamento serão anunciados no site do Serviço. Exceto nos casos exigidos por lei, as taxas pagas para o uso do Serviço não serão reembolsadas.
2. Conta do Usuário
  • 2-1 Para usar o Serviço, o Usuário fornecerá adequadamente à Empresa as informações necessárias e criará uma conta do usuário (a "Conta"). O Usuário também poderá criar uma Conta usando uma conta do usuário de outros serviços (incluindo serviços de terceiros) designados pela Empresa. Se a Empresa acreditar que qualquer um dos casos seguintes são aplicáveis ou que a prestação do Serviço é impossível ou inadequada, a Empresa pode se recusar a criar uma Conta, excluir a Conta já criada ou tomar quaisquer outras medidas que a Empresa considere apropriadas.
    • (1) Se o Usuário tiver menos de 18 anos e não tiver sido assistido por seus responsáveis legais na utilização do Serviço, conforme exigido pelas leis correspondentes na área do Serviço;
    • (2) Se o Usuário fornecer à Empresa informações inconsistentes com os fatos, tal como usar o nome de outra pessoa ou fazer uma declaração falsa;
    • (3) Se o Usuário violou estes Termos ou quaisquer leis e regulamentos aplicáveis durante o uso do Serviço ou no passado;
    • (4) Se o Usuário se enquadrar na categoria de um grupo criminoso organizado, um membro de um grupo criminoso organizado, aqueles que foram membros de um grupo criminoso organizado nos últimos cinco anos, um membro associado de um grupo criminoso organizado, um extorsionário, um grupo envolvido em atividades criminosas sob pretexto de realizar campanhas sociais, um grupo especializado em crimes contra a propriedade intelectual, etc., qualquer outra pessoa enquadrada em categoria equivalente, uma pessoa classificada pelo governo brasileiro ou por um governo estrangeiro como sujeito a sanções econômicas, ou um residente de um país ou região classificado pelo governo brasileiro ou governos estrangeiros como sujeito a sanções econômicas (coletivamente "Forças Antissociais"), ou uma pessoa jurídica que tenha Forças antissociais envolvidas na sua gestão.
    • (5) Se o Usuário já tiver uma conta criada.
  • 2-2 Se quaisquer informações fornecidas pelo Usuário à Empresa em relação ao uso do Serviço forem alteradas, o Usuário deve efetuar o procedimento de alteração das informações sem demora e na forma prescrita pela Empresa.
  • 2-3 O Usuário não utilizará a Conta de outro Usuário para usar o Serviço e não deve permitir que terceiros usem sua Conta.
  • 2-4 O Usuário gerenciará adequadamente as informações relacionadas à própria Conta, incluindo o ID e a senha. O Usuário será responsável por todos os atos e resultados decorrentes da utilização do Serviço por meio da própria Conta.
  • 2-5 O Usuário poderá deletar a Conta a qualquer momento através dos procedimentos prescritos pela Empresa. Após deletar a conta, o Usuário perderá todos os direitos ao abrigo destes Termos. No entanto, estes Termos continuarão a serem aplicáveis após a deleção no que concerne ao uso do Serviço pelo Usuário anterior à deleção da conta.
3. Privacidade
Os dados do Usuário adquiridos pela Empresa em relação com o uso do Serviço serão tratados de acordo com aPolítica de Privacidade da Empresa.
4. Proibições
  • 4-1 Ao utilizar o Serviço, o Usuário não tentará conduzir quaisquer dos seguintes atos e não cooperará ou promoverá para a condução de tais atos por terceiros.
    • (1) Infringir os direitos e interesses legalmente protegidos (incluindo direito de propriedade intelectual, segredo industrial, direitos de privacidade e proteção de dados, direitos de imagem, direitos publicitários e direitos de propriedade) da Empresa ou de terceiros;
    • (2) Violar lei, regulamentos, decisões judiciais ou quaisquer outras disposições legalmente vinculadas por uma autoridade pública ou violar a ordem e a moral públicas;
    • (3) Insultar, difamar, caluniar a Empresa ou terceiros, na esfera pública ou não, ou fazer upload ou divulgar por quaisquer outros meios expressões ou outras informações que incluam conteúdo ofensivo ou antissocial (incluindo expressões que sejam excessivamente violentas, explicitamente sexuais ou que possam levar à discriminação);
    • (4) Bullying, assédio ou qualquer ato de obstrução do bom uso do Serviço por outros usuários (incluindo o envio de informações falsas, spam ou interferir na comunicação de outro Usuário);
    • (5) Coleta ou uso ilegal ou divulgação ou fornecimento para terceiros de dados pessoais, outras informações relacionadas à privacidade ou informações confidenciais como senhas de terceiros;
    • (6) Usar o Serviço para fins lucrativos (excerto quanto aprovado antecipadamente e por escrito pela Empresa), para conhecer ou socializar com estranhos ou para fins distintos daqueles propostos pelo Serviço;
    • (7) Baixar, distribuir, disponibilizar para transmissão pública, modificar, operar engenharia reversa, decompilar, desmontar, apagar, etc. o todo ou parte do Serviço para além do escopo expressamente autorizado pela Empresa (incluindo o caso de desativar ou evitar funções como a proteção de conteúdo e o controle de acesso ou de aproveitar intencionalmente dos defeitos no Serviço);
    • (8) Incorporar ou executar vírus ou outros programas ou arquivos que interfiram na adequada operação, obstruir/controlar as operações, ou consultar/adquirir ou danificar os dados dos terminais de informação, dispositivos de rede, sistemas, etc. geridos pela Empresa ou terceiros, através ou por meio de tais terminais de informação, etc.;
    • (9) Impedir o normal e bom funcionamento do Serviço, por exemplo, ao impor um ônus excessivo ao servidor do Serviço ou ao fazer uma solicitação excessiva além do escopo do legítimo exercício dos direitos ao abrigo destes Termos;
    • (10) Qualquer outra violação destes Termos; ou
    • (11) Outras questões consideradas inapropriados pela Empresa.
  • 4-2 Caso a Empresa identifique que o Usuário está violando estes Termos, a Empresa poderá suspender ou deletar a Conta do Usuário ou adotar qualquer outra medida e não terá qualquer responsabilidade por tais atos.
  • 4-3 A menos que seja exigido por lei, a Empresa não tem qualquer obrigação de monitorar as atividades online do Usuário no Serviço. A Empresa, no entanto, poderá registrar, consultar e divulgar as atividades on-line ocorridas em seus Serviços desde que na medida permitida por lei e regulamentos e para finalidades legítimas tais como as de garantia de conformidade com as leis e com estes Termos.
5. Direitos de Propriedade Intelectual
  • 5-1 Os direitos de propriedade intelectual e outros direitos relativos ao Serviço são de propriedade e de controle da Empresa ou do legítimo titular do direito que licenciou a Empresa (o “Legítimo Titular do Direito”).
  • 5-2 O Serviço poderá incluir software o qual o Legítimo Titular do Direito tenha estabelecido termos de uso diferentes destes Termos. Se a Empresa notificar tais termos de uso dentro do Serviço, o Usuário também deverá usar o Serviço de acordo com tais termos.
  • 5-3 O Usuário concede à Empresa o direito não exclusivo (com o direito de sublicenciar o mesmo) de usar qualquer imagem, som, texto ou outra informação divulgada ou transmitida pelo Usuário em relação ao uso do Serviço (o “Conteúdo Divulgado”) (tal uso inclui a reprodução, distribuição, transmissão pública, omissão parcial ou outras adaptações), em toda a área do Serviço, sem custo, pela Empresa ou quaisquer terceiros designados pela Empresa, na extensão permitida pelas leis aplicáveis. É de responsabilidade do usuário assegurar que o Conteúdo Divulgado não infrinja direitos de terceiros e que esteja em conformidade com estes Termos.
  • 5-4 A Empresa poderá, sem qualquer aviso ao Usuário, adotar medidas, incluindo a exclusão do Serviço, com relação a qualquer Conteúdo Divulgado que a Empresa considere violar estes Termos ou ser inapropriado. A Empresa não se responsabiliza pelas ações do Usuário.
6. Alteração, Suspensão e Rescisão do Serviço
  • 6-1 A Empresa poderá, a seu critério, modificar ou rescindir o Serviço, no todo ou em parte. Como condição para continuar usando o Serviço, poderá ser necessário que Usuário atualize o Serviço, incluindo eventuais atualizações do software.
  • 6-2 A Empresa poderá suspender a prestação do Serviço, no todo ou em parte, pelo período neccessário, em quaisquer dos seguintes casos:
    • (1) Quando da interrupção na prestação dos serviços de terceiros (incluindo, mas não se limitando a serviços de telecomunicação e de nuvem) que são necessários para a prestação do Serviço;
    • (2) Quando da necessária suspensão na prestação do Serviço para realizar manutenção e/ou inspeção no sistema necessária para a prestação do Serviço ou para lidar com falhas, defeitos, etc.;
    • (3) Se o Serviço não puder ser prestado devido à queda de energia, desastre natural, disputa trabalhista ou evento de força maior; ou
    • (4) Quando a Empresa julgar inevitável.
  • 6-3 Excerto nos casos de emergência, a Empresa notificará o Usuário antes de qualquer mudança, suspensão ou rescisão do todo ou de parte do Serviço se tal mudança, suspensão ou rescisão impactar significativamente o Usuário.
  • 6-4 A Empresa não será responsável por quaisquer danos ou outras consequências incorridas ao Usuário em relação a qualquer mudança, suspensão ou rescisão do Serviço, excerto quando tais danos ou consequências forem atribuíveis à Empresa.
7. Limitação de Responsabilidade
  • 7-1 Excerto na extensão proibida pelas leis aplicáveis, a Empresa não presta declarações e garantias, expressa ou implícita, no que diz respeito à acurácia, segurança ou quaisquer outras questões do conteúdo de sites de terceiros ou serviços que possam ser acessados por meio de link acessado via Serviço, incluindo anúncios no Serviço. A Empresa não se responsabiliza por quaisquer danos ou outras consequências decorrentes do uso de tais sites ou serviços pelo Usuário.
  • 7-2 Na ocorrência de qualquer disputa entre o Usuário e terceiros devido à violação de direitos ou por qualquer outro motivo relacionado com o uso do Serviço pelo Usuário, o Usuário resolverá tal disputa as expensas e responsabilidade próprias e a Empresa não será responsabilizada de forma alguma.
  • 7-3 Excerto na extensão proibida pelas leis aplicáveis, a Empresa não prestará declarações e garantias, expressa ou implícita, no que diz respeito à qualidade ou qualquer outro aspecto do Serviço (incluindo defeitos como bugs, defeitos de segurança e violação aos direitos de terceiros).
  • 7-4 Não obstante qualquer outra provisão destes Termos e na extensão permitida pelas leis aplicáveis, na ocorrência de quaisquer danos incorridos ao Usuário devido a atos ilícitos praticados pela Empresa, esta será responsável por tais danos apenas na extensão dos danos normalmente incorridos pelo Usuário, no valor total referente ao valor das taxas de uso que a Empresa recebeu do Usuário no período anterior de três (3)meses e não será responsável por quaisquer danos consequentes, danos indiretos ou outros danos decorrentes de circunstâncias especiais (incluindo casos previstos ou previsíveis). No entanto, a Empresa não estará isenta de responsabilidade pelos danos causados ao Usuário devido à negligência ou a demais atos ilícitos resultantes de sua conduta dolosa ou negligência grosseira.
  • 7-5 O Serviço é prestado pela Empresa ao Usuário sob o contrato entre a Empresa e o Usuário com base nestes Termos e o Legítimo Titular do Direito não será responsabilizado de forma alguma, salvo previsto em lei.
8. Cessão
  • 8-1 O Usuário não pode ceder, causar a cessão ou fornecer para efeitos de garantia a terceiros, todo ou parte dos direitos e obrigações destes Termos.
  • 8-2 O Usuário concorda que a Empresa pode ceder ou causar a cessão dos direitos e obrigações destes Termos, e qualquer informação sobre os Usuários a um terceiro em conexão com a transferência ou cessão do negócio relacionado com os Serviços a tal terceiro.
9. Alterações nestes Termos
A Empresa poderá alterar estes Termos a qualquer momento, na extensão permitida em lei. A Empresa notificará os Termos revisados através do site do Serviço com um período de aviso prévio que a Empresa considere razoável considerando as alterações, etc. No entanto, a Empresa se reserva o direito de não avisar previamente as alterações quando estas estiverem de acordo com os interesses gerais dos Usuários.
10. Contato para Dúvidas
Caso o Usuário tinha alguma dúvida sobre estes Termos, ele/ela deverá entrar em contato conosco por meio do formulário de conato disponibilizado no site do Serviço. A Empresa poderá confirmar a identidade do Usuário pelos meios designados por si. Ao menos que seja exigido por lei, a Empresa pode usar quaisquer meios que julgar apropriado para responder ou para lidar com as dúvidas dos Usuários.
11. Lei Aplicável, Jurisdição, Renuncia às Ações Coletivas e de Classe e Renuncia ao Julgamento por Júri.
  • 11-1 Estes Termos (incluindo quaisquer obrigações não contratuais) serão regidos e interpretados de acordo com as leis do Japão. Todos as controvérsias decorrentes ou relacionadas ao Serviço (incluindo quaisquer obrigações não contratuais) deverão ser submetidas à Corte do Distrito de Tóquio, Japão como corte com jurisdição exclusiva em primeira instância.
  • 11-2 Ao acordar com estes Termos, o Usuário concorda que qualquer alegação que o Usuário possa ter contra a Empresa em relação ao uso do Serviço ou a estes Termos deverá ser feita por meio de ação individual. O Usuário concorda em renunciar a qualquer direito que possa ter de processar a Empresa por meio de ações coletivas e em estar impedido de ser parte ou beneficiar-se diretamente de qualquer ação coletiva presente ou futura contra a Empresa por quem quer que seja. A Empresa e o Usuário também concordam em renunciar a qualquer direito a um julgamento por júri.
12. Disposições Gerais
  • 12-1 Quaisquer informações, avisos ou comunicados da Empresa ao Usuário sobre o Serviço será divulgado no site do Serviço ou por quaisquer outros meios que a Empresa julgar apropriado. Se o Usuário fornecer um endereço de e-mail, considerar-se-á que o Usuário consentiu com o recebimento de informações, avisos e comunicados neste endereço de e-mail e que tal informação, aviso ou comunicado eletrônicos irão satisfazer os requisitos legais, incluindo os requisitos de comunicação por via escrita. A Empresa não será responsável por quaisquer danos ou outras consequências advindas de falha ou de demora na prestação de tais informações, avisos ou comunicações, excerto nos casos os quais tais danos ou consequências sejam atribuíveis a Empresa.
  • 12-2 Se caso qualquer parte destes Termos seja considerado inválida, nula ou por qualquer motivo inexequível, tal parte será considerada inválida e não afetará a validade e a aplicabilidade de qualquer parte restante.
  • 12-3 Além da versão em inglês, estes Termos foram traduzidos para o idioma da área do Serviço. Caso exista qualquer inconsistência entre o significado ou a redação da versão em inglês e a versão traduzida, a versão em inglês deverá prevalecer.
  • 12-4 O Usuário concorda que o Legítimo Titular do Direito e a Sony Music Solutions Inc., que prestam serviços operacionais ao Serviço em nome da Empresa, será tratado como terceiro beneficiário e poderá exercer diretamente os direitos relevantes ou invocar a renuncia das responsabilidades sob o abrigo destes Termos, incluindo, mas não se limitando aos 5, 7, 11 e 12.

Terms of Service

These Terms of Service (these “Terms”) set forth the terms and conditions of use of the video distribution service (the “Service”) provided by Johnny & Associates, Inc. (the “Company”) for Users in the Service area (the “User”).
The Company may set separate terms and conditions related to the Service (including terms of use to be additionally applied to parts of the Service, operational rules to be separately notified within the Service) (the “Individual Terms”; which shall be deemed to constitute a part of these Terms except when otherwise specifically referred to), and the User shall also use the Service in accordance with the Individual Terms. If there is any discrepancy between these Terms and the Individual Terms or the contents of other websites, these Terms shall prevail unless otherwise specified.
If the User is under 18 years old, such User must be represented by his/her parent or guardian in order to accept these Terms. The User under 18 years of age may use the Services under its parents/legal guardians’ supervision.
SUMMARY
  • ・Except as required by law, fees paid for the Service will not be refunded.
  • ・In using the Service, the User shall not attempt or conduct any of the prohibited matters, including using the Service to conduct acts for profit, downloading, distributing, making available for public transmission, etc. of all or any part of the Service.
  • ・Except to the extent prohibited by applicable laws, the Company makes no representations and warranties, either express or implied, with respect to the quality or any other aspects of the Service.
  • ・To the extent permitted by applicable laws, in the event of any damages suffered by the User due to the Company’s default or tort, the Company shall be liable for such damages only to the extent of the damage normally incurred by the User and up to the total amount of usage fees the Company received from the User in the preceding three (3)- month period, and shall not be liable for any consequential damages, indirect damages or other damages arising from special circumstances (including cases that are foreseen or foreseeable). However, the Company will not be exempted from liability for damages of the User due to the Company’s default or tort resulting from its willful misconduct or gross negligence.

1. Service
  • 1-1 Related data and documents, etc. and their updated/upgraded versions also constitute part of the Service.
  • 1-2 The Company may place advertisements for the Company and third parties anywhere on the Service.
  • 1-3 An Internet environment is required to use the Service. The User shall be responsible for setting up and maintenance of such Internet environment at such User’s own expense, including bearing the burden of communication charges and ensuring network security.
  • 1-4 The Service is not intended to be used for the purpose of backup or storage of any data. The Company shall not be liable in any way for loss, alteration or the like of data contained in the Services, or inability to access, use, upload or download data contained in the Services except where tickets, etc. purchased by Users are lost or otherwise become unable to be used due to reasons attributable to the Company, nor shall the Company be liable in the event of deletion of a user account, or for alteration, interruption or termination of the Services.
  • 1-5 Parts of the Service may be provided for a fee, and prices and payment terms will be announced on the website for the Service. Except as required by law, fees paid for the Service will not be refunded.
2. User Account
  • 2-1 To use the Service, the User shall properly provide the Company with the required information and create a user account (the “Account”). The User may also create an Account by using a user account for other services (including third party services) designated by the Company. If the Company believes that any of the following applies or the provision of the Service is otherwise impossible or inappropriate, the Company may refuse to create an Account, delete the Account already created or take any other measures that the Company deems appropriate.
    • (1) If the User is under 18 years of age and has not been assisted by its parents/legal guardians to use the Service, as required under the laws regarding the Service area.
    • (2) If the User provides the Company with information inconsistent with the facts, such as by using another person’s name or making a false statement.
    • (3) If the User has violated these Terms or any applicable laws and regulations during the use of the Service or in the past.
    • (4) If the User falls under the category of an organized crime group, a member of an organized crime group, those who were a member of an organized crime group in the past five years, an associate member of an organized crime group, a racketeer, a group engaging in criminal activities under the pretext of conducting social campaigns, a crime group specialized in intellectual crimes, etc., any other person equivalent to these, a person designated by the Japanese government or a foreign government as subject to economic sanctions, or a resident of a country or region designated by the Japanese government or foreign governments as subject to economic sanctions (collectively “Anti-Social Forces”), or a juridical person which has Anti-Social Forces involved in the management thereof.
    • (5) If the User has already created an Account.
  • 2-2 If any information provided by the User to the Company in connection with the use of the Service is changed, the User shall carry out the change procedure without delay in the manner prescribed by the Company.
  • 2-3 The User shall not use another User ’s Account to use the Service and shall not allow any third party to use such User’s Account.
  • 2-4 The User shall properly manage the information related to such User’s own Account, including the ID and password. The User shall be responsible for all acts and results of using the Service with such User’s own Account.
  • 2-5 The User may withdraw from the Service (delete such User’s Account) at any time through the procedures prescribed by the Company. Upon withdrawal, the User shall lose all rights under these Terms; however, these Terms shall continue to apply even after such withdrawal to the matters related to the use of the Service by the User prior to the withdrawal.
3. Privacy
The User’s information acquired by the Company in connection with the Service shall be treated in accordance with the Company’sPrivacy Policy.
4. Prohibited Matters
  • 4-1 In using the Service, the User shall not attempt or conduct any of the following acts and shall not cooperate with or promote any of such acts by any third party.
    • (1) Infringing the rights or legally protected interests (including intellectual property rights, trade secrets, honors, privacy rights, portrait rights, publicity rights and proprietary rights) of the Company or third parties;
    • (2) Violating laws, regulations, court decisions or other legally binding dispositions by a public authority, or offending public order and morals;
    • (3) Insulting, defaming, slandering the Company or any third party, or in the public domain of the Service, or uploading or transmitting by other means any expression or other information that includes offensive or antisocial content (including expressions that are excessively violent, explicitly sexual or may lead to discrimination);
    • (4) Bullying, harassment or any other act of obstructing the smooth use of the Service by other Users (including sending false information or spam or interfering with the communications of other Users);
    • (5) Illegal collection or use, or disclosure or provision to a third party, of personal information, other privacy related information, or confidential information such as passwords, of others;
    • (6) Using the Service to conduct acts for profit (except where approved in advance in writing by the Company), to meet or socialize with strangers of the opposite sex, or to conduct acts for other purposes different from the intended purpose of the Service;
    • (7) Downloading, distributing, making available for public transmission, modifying, operating, reverse engineering, decompiling, disassembling, erasing, etc. of all or any part of the Service beyond the scope expressly authorized by the Company (including the case of disabling or avoiding functions such as content protection and access control, or intentionally misusing defects in the Service);
    • (8) Incorporating or executing viruses or other programs or files that interfere with the proper operation of, obstruct/control the operations of, or browse/acquire or damage the data from, information terminals, network devices, systems, etc. managed by the Company or third parties, into or in such information terminals, etc.;
    • (9) Impeding the normal and smooth operation of the Service by, for example, imposing an excessive burden on the server of the Service or by making an excessive request beyond the scope of the legitimate exercise of the rights under these Terms;
    • (10) Any other violation of these Terms; or
    • (11) Other comparable matters deemed inappropriate by the Company.
  • 4-2 If the Company determines that the User is in breach of these Terms, the Company may suspend or delete such User’s Account or take any other action and shall have no responsibility whatsoever for such action.
  • 4-3 Unless required otherwise by law, the Company has no obligation to monitor the User’s online activities on the Service; provided, however, that, to the extent permitted by laws and regulations and for legitimate purposes such as ensuring compliance with the laws and these Terms, the Company may record online activities on the Service and browse and disclose the same.
5. Intellectual Property Rights
  • 5-1 Intellectual property rights and other rights relating to the Service are owned or controlled by the Company or the original right holder who licensed the Company (the “Original Rights Holder”).
  • 5-2 The Service may include software for which the Original Rights Holder has set different terms of use from these Terms. If the Company notifies such terms of use within the Service, the User shall use the Service in accordance with such terms of use as well.
  • 5-3 The User hereby grants the Company the non-exclusive right (with the right to sublicense the same) to use any image, sound, text or other information posted or transmitted by the User in connection with the Service (the “Posted Content”) (such use includes reproduction, distribution, public transmission, partial omission and other adaptations), in the entire Service area, without charge, by the Company or any party designated by the Company, to the extent permitted by applicable laws. It is the User’s responsibility to confirm that the Posted Content does not infringe upon the rights of third parties and otherwise conforms to the contents of these Terms.
  • 5-4 The Company may take any action, including deletion from the Service, regarding any Posted Content that the Company deems to be in violation of these Terms or to be inappropriate, without any notice to the User. The Company shall not be liable to the User for such action.
6. Change, Suspension, Termination of the Service
  • 6-1 The Company may, at its discretion, modify or terminate the Service, in whole or in part. In connection with such modifications, it may be necessary for the User to update the Service, including the software therefor, as a condition to continue using the Service.
  • 6-2 The Company may suspend the provision of the Service in whole or in part for the necessary period of time if any of the following applies:
    • (1) When there is an interruption in the provision of third-party services (including, without limitation, telecommunications services and cloud services) that are necessary to provide the Service;
    • (2) When it is necessary to suspend the Service in order to perform maintenance and/or inspection of the system necessary for provision of the Service or to deal with its failure, defect, etc.;
    • (3) f the Service cannot be provided due to a power outage, natural disaster, labor dispute or other force majeure event; or
    • (4) When the Company deems it unavoidable.
  • 6-3 Except in the case of emergency, the Company will notify the User prior to any change, suspension or termination of all or any part of the Service if such change, suspension or termination would have a significant impact on the User.
  • 6-4 The Company shall not be liable for any damages or other consequences incurred by the User in connection with any change, suspension or termination of the Service, except where such damages or consequences are attributable to the Company.
7. Disclaimer
  • 7-1 Except to the extent prohibited by applicable laws, the Company makes no representation or warranty, either express or implied, with respect to the accuracy, safety and any other matters of the contents of third-party websites and services that may be accessed via a link from the Service, including advertisements on the Service. The Company shall not be liable for any damages or other consequences arising from the User’s use of such websites or services.
  • 7-2 If any dispute arises between the User and a third party due to infringement of rights or for any other reason in connection with the User’s use of the Service, the User shall resolve such dispute at his/her own expense and responsibility, and the Company shall not be held liable in any way.
  • 7-3 Except to the extent prohibited by applicable laws, the Company makes no representations and warranties, either express or implied, with respect to the quality or any other aspects of the Service (including defects such as bugs, security defects and infringement of the rights of third parties).
  • 7-4 Notwithstanding any other provision of these Terms, and to the extent permitted by applicable laws, in the event of any damages suffered by the User due to the Company’s default or tort, the Company shall be liable for such damages only to the extent of the damage normally incurred by the User and up to the total amount of usage fees the Company received from the User in the preceding three (3)- month period, and shall not be liable for any consequential damages, indirect damages or other damages arising from special circumstances (including cases that are foreseen or foreseeable). However, the Company will not be exempted from liability for damages of the User due to the Company’s default or tort resulting from its willful misconduct or gross negligence.
  • 7-5 The Service is provided by the Company to the User under the contract between the Company and the User based on these Terms, and the Original Rights Holder shall not be held liable in any way to the User regarding the Service, unless otherwise provided by law.
8. Assignment
  • 8-1 The User may not assign, cause to be succeeded, or provide for the purpose of collateral to a third party, all or part of the status or rights and obligations under these Terms.
  • 8-2 The User agrees that the Company may transfer or cause the succession of the status or rights and obligations under these Terms and any information about the Users to a third party in connection with the transfer or succession of the business relating to the Services to such third party.
9. Changes to These Terms
The Company may change these Terms at any time to the extent permitted by law. The Company will notify Users of the revised Terms through the website of the Service with a prior notice period that the Company deems reasonable considering the changes, etc.; provided, however, that such prior notice period may not be set if the changes are in accordance with the general interest of the Users.
10. Contact for Inquiries
If the User has any questions about these Terms, he/she should contact us by using the contact form on the website of the Service. The Company may confirm the identity of the User by the method prescribed by the Company. Unless otherwise required by law, the Company may use any method deemed appropriate by the Company to respond to or otherwise cope with User inquiries.
11. Governing Law, Jurisdiction, Class or Representative Action Waiver, and Jury Waiver
  • 11-1 These Terms (including any relevant non-contractual obligations) shall be governed by and construed in accordance with the laws of Japan. All controversies and disputes arising out of or relating to the Service (including any relevant non-contractual obligations) shall be submitted to the Tokyo District Court in Tokyo, Japan as the court of exclusive jurisdiction in the first instance.
  • 11-2 By agreeing to these Terms, User agrees that User is required to resolve any claim that User may have against the Company related to the Service or these Terms on an individual basis. User agrees to waive any right User may otherwise have to bring any class, collective or representative action, and is precluded from participating in or recovering relief under any current or future class, collective, consolidated or representative action against the Company by someone else. The Company and User also agree to waive any right to a trial by jury.
12. Miscellaneous
  • 12-1 Any information, notice or communication from the Company to Users regarding the Service shall be made by posting on the website of the Service or any other method as the Company deems appropriate. If the User provides an email address, User shall be deemed to have consented to receiving information, notices and communications at that email address, and such electronic delivery will satisfy any legal communication requirements, including that such communications be in writing. The Company shall not be liable for any damages or other consequences of non-delivery or delay of such information, notice or communication, except where such damages or consequences are attributable to the Company.
  • 12-2 If any portion of these Terms is deemed invalid, void or for any reason unenforceable, such portion shall be deemed severable and shall not affect the validity and enforceability of any remaining portion.
  • 12-3 In addition to the English version, these Terms may be translated into the language of the Service area. If there is any inconsistency in the meaning or wording between the English version and the translated version, the English version shall prevail.
  • 12-4 The User agrees that the Original Rights Holder and Sony Music Solutions Inc., which provides operation services for the Service on behalf of the Company, shall be treated as the third-party beneficiary of these Terms and may directly exercise the relevant rights or invoke the waiver of liability under these Terms, including but not limited to Articles 5, 7, 11 and 12.

Nutzungsbedingungen des kostenpflichtigen Video-Streaming-Dienstes

Artikel 1 (Geltungsbereich und Änderungen dieser Bedingungen)
  • 1. Diese Nutzungsbedingungen für den kostenpflichtigen Video-Streaming-Dienst ("diese Bedingungen") gelten für den Nutzer ("Nutzer") des Dienstes (wie nachstehend definiert) in Bezug auf die Nutzung des Abrufdienstes ("Dienst") von Videos und anderen Inhalten ("Inhalte"), die von dem Unternehmen (wie nachstehend definiert) auf der kostenpflichtigen Video-Streaming-Website "Johnny's net online" ("Website") bereitgestellt werden, die von Johnny & Associates, Inc. ("Unternehmen") betrieben und verwaltet wird.
  • 2. Mit dem Zeitpunkt, an dem der Nutzer mit der Nutzung des Dienstes beginnt, wird davon ausgegangen, dass der Nutzer dem Gegenstand dieser Bedingungen zugestimmt hat und darüber hinaus zugestimmt hat, dass diese Bedingungen den Gegenstand eines Vertrags zwischen dem Unternehmen und dem Nutzer bilden.
  • 3. Der Nutzer ist verpflichtet, diese Bedingungen nach Treu und Glauben einzuhalten.
  • 4. Sollten Änderungen, Ergänzungen, Zusätze, Streichungen oder Ähnliches (zusammenfassend als "Änderung" bezeichnet) in diesen Bedingungen erforderlich werden, kann das Unternehmen diese Bedingungen in vernünftiger und angemessener Weise ändern, sofern diese Änderung nicht im Widerspruch zum Zweck dieser Bedingungen vor der Änderung steht.
  • 5. Wenn das Unternehmen diese Bedingungen ändert, wird es den Nutzer über den Gegenstand der Änderung und den Zeitpunkt des Inkrafttretens dieser Bedingungen nach der Änderung informieren, indem es dies eine angemessene Zeit vor der Änderung auf der Website veröffentlicht.
  • 6. Sobald das Unternehmen den Nutzer gemäß dem vorstehenden Absatz ordnungsgemäß benachrichtigt hat, gelten diese Bedingungen nach der Änderung für den Nutzer unabhängig davon, ob der Nutzer von der Änderung Kenntnis hat oder nicht.
Artikel 2 (Definitionen)
Jeder der folgenden Begriffe, die in diesen Bedingungen verwendet werden, wird wie folgt definiert.
  • 1. "Unternehmen" bedeutet Johnny & Associates, Inc.
  • 2. "Website" bezeichnet die Website "Johnny's net online", die von dem Unternehmen betrieben und verwaltet wird.
  • 3. "Inhalte" bezeichnet Videos und andere Inhalte, die von dem Unternehmen auf der Website zur Verbreitung per Streaming bereitgestellt werden.
  • 4. "Dienst" bezeichnet den von dem Unternehmen bereitgestellten Dienst, der es dem Nutzer ermöglicht, die Inhalte gegen eine Gebühr über ein mit dem Dienst kompatibles Endgerät anzusehen.
  • 5. "Nutzer" bedeutet die Person, die den Dienst nutzt.
Artikel 3 (Service-Gebühr)
  • 1. Bei der Nutzung des Dienstes und dem Erwerb einzelner Inhalte hat der Nutzer die vorgeschriebene Gebühr ("Service-Gebühr") zu zahlen, die auf der Website veröffentlicht wird. Der Zeitraum, in dem die Inhalte angesehen werden können, wird auf der Website bekannt gegeben.
  • 2. Der Nutzer ist verpflichtet, bei Bedarf Informationen wie die Höhe und die sonstigen Zahlungsbedingungen der aktuellen Service-Gebühr und den Betrachtungszeitraum der Inhalte für den von ihm genutzten Dienst zu bestätigen.
Artikel 4 (Antrag auf Nutzung des Dienstes)
  • 1. Bei der Nutzung des Dienstes muss der Nutzer seine E-Mail-Adresse auf der Website als ID des Nutzers ("ID") registrieren. Der Nutzer kann seine ID während des Betrachtungszeitraums der vom Nutzer erworbenen Inhalte auf der Grundlage der vorstehenden Registrierung gültig verwenden.
  • 2. Wenn der Nutzer des Dienstes minderjährig ist, muss der Nutzer die vorherige Zustimmung seiner Eltern oder eines anderen gesetzlichen Vertreters für die Nutzung des Dienstes einholen, und die Nutzung des Dienstes durch diesen Nutzer muss unter der Zustimmung und Verantwortung seiner Eltern oder eines anderen gesetzlichen Vertreters erfolgen.
  • 3. Bei der Nutzung des Dienstes muss der Nutzer diesen Bedingungen zustimmen und den Kauf von Inhalten gemäß den vorgeschriebenen Verfahren des Unternehmens persönlich beantragen. Wenn die persönlichen Daten beim Kauf von Inhalten fehlerhaft sind, darf der Nutzer den Dienst nicht nutzen.
  • 4. Die im Rahmen des Dienstes erworbenen Inhalte können nicht storniert werden, und die einmal gezahlte Service-Gebühr wird nicht zurückerstattet. Auch wenn der Antrag auf den Kauf redundant erfolgt und derselbe Inhalt aufgrund eines Eingabefehlers des Nutzers oder Problemen mit der Kommunikationsumgebung des Nutzers mehrfach im Dienst gekauft wird, haftet das Unternehmen lediglich gemäß den Bestimmungen in Artikel 11.
Artikel 5 (Inhaberschaft an Rechten)
  • 1. Die Urheberrechte an allen Informationen, einschließlich der Inhalte, im Dienst gehören dem Unternehmen bzw. dem Anbieter der Inhalte.
  • 2. Der Nutzer darf die Inhalte und Informationen auf der Website nicht über den gesetzlich zulässigen Rahmen hinaus nutzen (einschließlich, aber nicht beschränkt auf Handlungen der Vervielfältigung, Verfälschung und Verbreitung), z. B. für den privaten Gebrauch.
Artikel 6 (Empfohlene Systemvoraussetzungen)
Die empfohlenen Systemvoraussetzungen des Dienstes werden vom Unternehmen gesondert vorgeschrieben und auf der Website veröffentlicht.
Artikel 7 (Vorbereitung der Ausrüstung etc.)
Der Nutzer ist verpflichtet, in eigener Verantwortung und auf eigene Kosten eine Umgebung vorzubereiten, die die Nutzung des Dienstes ermöglicht, einschließlich der Vorbereitung von Kommunikationsgeräten und Software sowie des Abschlusses eines Telefonservicevertrags und eines Internetservicevertrags. Alle mit dem Dienst verbundenen Kommunikations- und Verbindungsgebühren gehen zu Lasten des Nutzers.
Artikel 8 (Verbotene Handlungen)
  • 1. Der Nutzer darf nur in der von dem Unternehmen vorgeschriebenen Weise den Dienst nutzen und die Inhalte ansehen. Die folgenden Handlungen sind durch das Unternehmen verboten:
    • (1) Handlungen, die Urheberrechte, Markenrechte und andere geistige Eigentumsrechte, Bildrechte, Datenschutzrechte oder andere Rechte an dem Dienst, einschließlich der Inhalte und Informationen des Dienstes, verletzen oder verletzen können;
    • (2) die kommerzielle Nutzung der vom Dienst erhaltenen Informationen;
    • (3) die Bereitstellung, Abtretung oder der Verkauf der E-Mail-Adresse oder ID des Nutzers an einen Dritten;
    • (4) die Verwendung oder Bereitstellung eines Computervirus oder eines anderen schädlichen Programms über oder in Verbindung mit dem Dienst;
    • (5) Handlungen, die Gesetze verletzen oder verletzen können;
    • (6) Handlungen, die gegen diese Bedingungen verstoßen; und
    • (7) jede andere Handlung, die von dem Unternehmen als unangemessen erachtet wird.
  • 2. Wenn der Nutzer eine der im vorstehenden Absatz genannten Handlungen vornimmt, kann das Unternehmen die Nutzung des Dienstes durch den Nutzer aussetzen, ohne dass es einer vorherigen Mitteilung bedarf. In diesem Fall ist der Nutzer zur sofortigen Zahlung der Service-Gebühr bis zu dem Zeitpunkt verpflichtet, an dem das Unternehmen die Nutzung des Service durch den Nutzer ausgesetzt hat. Der Nutzer, der seine Berechtigung zur Nutzung des Dienstes gemäß diesem Absatz verwirkt hat, kann keine Rechte, wie z. B. das Recht auf Schadensersatz, geltend machen.
Artikel 9 (Aussetzung des Dienstes)
  • 1. Wenn einer der folgenden Punkte zutrifft, kann das Unternehmen die Erbringung des Dienstes ganz oder teilweise aussetzen:
    • (1) eine Störung tritt in der von dem Unternehmen für die Erbringung des Dienstes verwendeten Ausrüstung auf, oder diese Ausrüstung muss gewartet und überprüft oder verbessert und repariert werden;
    • (2) der Dienst kann aufgrund eines Brandes, Stromausfalls, einer Katastrophe oder eines anderen Ereignisses höherer Gewalt nicht erbracht werden; oder
    • (3) das Unternehmen erachtet die Erbringung des Dienstes aus anderen Gründen als schwierig.
  • 2. Wenn das Unternehmen die Erbringung des Dienstes gemäß den Bestimmungen des vorstehenden Absatzes aussetzt, informiert das Unternehmen den Nutzer im Voraus auf eine vom Unternehmen als angemessen erachtete Weise, außer in Notfällen.
Artikel 10 (Änderung/Einstellung des Dienstes)
Das Unternehmen ist berechtigt, den Inhalt, den Namen und andere Details des Dienstes (einschließlich der Inhalte) zu ändern und die Verbreitung der Inhalte einzustellen, ohne dass es einer vorherigen Ankündigung oder Mitteilung an den Nutzer bedarf.
Artikel 11 (Haftung)
  • 1. Wenn der Nutzer durch die Nutzung des Dienstes einem Dritten, einschließlich anderer Nutzer, einen Schaden oder Verlust zufügt, haften das Unternehmen und der Anbieter der Inhalte in keiner Weise dafür, und der Nutzer muss den erlittenen Schaden oder Verlust des Dritten sowie alle damit zusammenhängenden Probleme in eigener Verantwortung und auf eigene Kosten lösen und darf dem Unternehmen sowie dem Anbieter der Inhalte keine Lasten aufbürden.
  • 2. Wenn der Nutzer dem Unternehmen oder dem Anbieter der Inhalte einen Schaden zufügt, weil er gegen diese Bedingungen verstößt oder eine betrügerische oder illegale Handlung vornimmt, können das Unternehmen und der Anbieter der Inhalte Schadensersatzansprüche gegen den Nutzer geltend machen.
  • 3. Das Unternehmen ist berechtigt, den Dienst ganz oder teilweise auszusetzen, einzustellen oder abzuschaffen, ohne die Zustimmung des Nutzers einholen zu müssen. Auch wenn die Bereitstellung des Dienstes verzögert, ausgesetzt, eingestellt oder abgeschafft wird, haftet das Unternehmen lediglich nach den Bestimmungen des folgenden Absatzes (4.).
  • 4. Für Schadensersatzansprüche, gleich aus welchem Rechtsgrund, insbesondere wegen Verletzung von Pflichten aus dem Schuldverhältnis und aus unerlaubter Handlung, haftet das Unternehmen nur in den folgenden Fällen:
    • a) bei vorsätzlichem Handeln;
    • b) Verletzung von Leben, Körper und Gesundheit;
    • c) bei Nichterfüllung einer ausdrücklich übernommenen Garantie;
    • d) wenn in anderen Fällen eine verschuldensunabhängige Haftung gesetzlich vorgesehen ist;
    • e) bei grober Fahrlässigkeit; und/oder
    • f) im Falle der Verletzung einer Wesentlichen Pflicht;
    • Im Übrigen ist die Haftung des Unternehmens ausgeschlossen. Eine "Wesentliche Pflicht" im Sinne dieser Vereinbarung ist (i) eine Vertragspflicht, die eine wesentliche Vertragsposition schützt, deren Gewährung ein wesentliches Ziel und einen wesentlichen Zweck des Vertrages darstellt, und/oder (ii) eine Vertragspflicht, deren Erfüllung die ordnungsgemäße Durchführung der Leistung überhaupt erst ermöglicht und auf deren Einhaltung der Nutzer regelmäßig vertrauen darf.
    • 1. In den Fällen der Ziffern 4 d) bis f) haftet das Unternehmen nur für den typischen und vorhersehbaren Schaden.
    • 2. Die Haftungsausschlüsse bzw. -beschränkungen gelten in gleichem Umfang auch für Handlungen der gesetzlichen Vertreter, leitenden und nichtleitenden Angestellten und sonstigen Erfüllungsgehilfen sowie Subunternehmer des Unternehmens.
    • 3. Die vorstehenden Regelungen sind nicht als Umkehr der Beweislast auszulegen.
    • 4. Das Unternehmen haftet nicht für die Nichterfüllung einer seiner Verpflichtungen, wenn die Nichterfüllung auf Umstände zurückzuführen ist, die es nicht zu vertreten hat (höhere Gewalt). Während höherer Gewalt ruht die Verpflichtung zur Erfüllung seiner Pflichten. Wird die Erfüllung der vertraglichen Verpflichtungen durch höhere Gewalt für einen Zeitraum von mehr als dreißig Tagen unmöglich gemacht, ist jede Partei berechtigt, ohne gerichtliche Intervention und ohne jegliche Verpflichtung zum Ersatz des Schadens des Nutzers vom Vertrag zurückzutreten.
    • 5. Für den Verlust von Daten haftet das Unternehmen nur bis zu dem Betrag, der bei ordnungsgemäßer und regelmäßiger Sicherung der Daten zur Wiederherstellung angefallen wäre.
Artikel 12 (Verwaltung von registrierten Informationen)
  • 1. Der Nutzer darf Dritten nicht erlauben, seine E-Mail-Adresse oder ID zu nutzen oder diese an Dritte abzutreten oder zu verkaufen.
  • 2. Der Nutzer verwaltet seine E-Mail-Adresse und ID in eigener Verantwortung und haftet für alle Schäden, die durch unzureichende Verwaltung oder fehlerhafte Nutzung der vorgenannten Informationen oder durch Nutzung der vorgenannten Informationen durch Dritte entstehen.
Artikel 13 (Umgang mit personenbezogenen Daten etc.)
  • 1. Um die vom Nutzer zur Verfügung gestellten personenbezogenen Daten auf einem korrekten und aktuellen Stand zu halten und den unbefugten Zugriff, Verlust, Beschädigung, Verfälschung oder Weitergabe von personenbezogenen Daten zu verhindern, wird das Unternehmen personenbezogene Daten streng verwalten, indem es Maßnahmen ergreift, die für die Einrichtung einer Wartungs-/Verwaltungsstruktur eines Sicherheitssystems erforderlich sind, und seine Mitarbeiter gründlich im Umgang mit personenbezogenen Daten schult.
  • 2. Alle Details zum Umgang mit personenbezogenen Daten des Nutzers sind in der Datenschutzrichtlinie des Unternehmens festgelegt.
Artikel 14 (Keine Übertragung etc. von Rechten und Pflichten)
Kein Nutzer darf seine Rechte und Pflichten aus diesen Bedingungen ganz oder teilweise übertragen, vermieten, verpfänden oder anderweitig darüber verfügen.
Artikel 15 (Anwendbares Recht)
Diese Bedingungen unterliegen den Gesetzen Japans.
Artikel 16 (Vereinbarter Gerichtsstand)
Für alle Rechtsstreitigkeiten im Zusammenhang mit diesen Bedingungen oder dem Dienst ist das Bezirksgericht Tokio als Gericht mit vereinbarter Zuständigkeit in der ersten Instanz zuständig.
Artikel 17 (Verbraucherstreitbeilegungsverfahren)
Die Plattform der EU-Kommission zur Online-Streitbeilegung findet der Nutzer online unter www.ec.europa.eu/consumers/odr. Das Unternehmen weist darauf hin, dass es zu einer Teilnahme an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle nicht verpflichtet und hierzu nicht bereit ist. Vielmehr ist das Unternehmen stets darum bemüht, etwaige Konflikte mit seinen Kunden selbst zu lösen. Bitte wenden Sie sich hierzu an den Kundenservice des Unternehmens.
Artikel 18 (Begünstigter Dritter)
Der Nutzer erklärt sich damit einverstanden, dass Sony Music Solutions Inc. ("SMS"), welche die Betriebsdienste für den Dienst bereitstellt, im gleichen Umfang wie das Unternehmen als Begünstigter dieser Bedingungen gilt, falls ein Anspruch gegen SMS geltend gemacht wird, der in irgendeiner Weise mit dem Dienst zusammenhängt, einschließlich, aber nicht beschränkt auf die Artikel 11, 15 und 16.
Artikel 19 (Konsultation)
Wenn Zweifel in Bezug auf Angelegenheiten, die in diesen Bedingungen nicht geregelt sind, oder bei der Auslegung der jeweiligen Bestimmungen auftauchen, werden sich das Unternehmen und der Nutzer nach Treu und Glauben beraten und diese Zweifel ausräumen.
Ergänzende Bestimmung
Diese Bedingungen wurden am 17. Dezember 2020 formuliert und in Kraft gesetzt.

Terms of Use of Paid Video Streaming Service

Article 1 (Scope of and Changes to these Terms)
  • 1. These Terms of Use of Paid Video Streaming Service (“these Terms”) shall apply to the user (“User”) of the Service (as defined below) in relation to the use of the viewing service (“Service”) of videos and other contents (“Contents”) provided by the Company (as defined below) on the paid video streaming site “Johnny’s net online” (“Site”) operated and managed by Johnny & Associates, Inc. (“Company”).
  • 2. At the time that the User starts using the Service, it shall be deemed that the User has agreed to the subject matter of these Terms, and further agreed that these Terms constitute the subject matter of a contract between the Company and the User.
  • 3. The User is obligated to comply with these Terms in good faith.
  • 4. If any change, addition, amendment, deletion or the like (collectively, “Change”) becomes required in these Terms, the Company may Change these Terms in a reasonable and adequate manner to the extent that such Change will not be in conflict with the purpose of these Terms before such Change.
  • 5. When the Company is to Change these Terms, the Company will notify the User of the subject matter of the Change and the timing that these Terms after the Change will come into effect by posting the same on the Site a reasonable period before the Change.
  • 6. Once the Company properly provides the notification of the preceding paragraph to the User, these Terms after the Change shall apply to the User irrespective of whether the User is aware or unaware of the Change.
Article 2 (Definitions)
Each of the following terms used in these Terms shall be defined as follows.
  • 1. “Company” means Johnny & Associates, Inc.
  • 2. “Site” means the website “Johnny’s net online” operated and managed by the Company.
  • 3. “Contents” means videos and other contents provided by the Company on the Site via streaming distribution.
  • 4. “Service” means the service provided by the Company for the User to view the Contents, for a fee, using a terminal that is compatible with the Service.
  • 5. “User” means the individual to use the Service.
Article 3 (Service Fee)
  • 1. When using the Service and purchasing individual Contents, the User shall pay the prescribed fee (“Service Fee”) posted on the Site. The viewing period of the Contents shall be posted on the Site.
  • 2. The User shall confirm, as needed, information such as the amount and other terms of payment of the latest Service Fee, and the viewing period of the Contents, of the Service that the User is using.
Article 4 (Application for Using Service)
  • 1. When using the Service, the User shall register one’s email address on the Site as the User’s ID (“ID”). The User may use one’s ID validly during the viewing period of the Contents purchased by the User based on the foregoing registration.
  • 2. If the User of the Service is a minor, the User shall obtain the prior consent of one’s parent or other legal representative in using the Service, and the use of the Service by that User shall be conducted under the consent and responsibilities of one’s parent or other legal representative.
  • 3. When using the Service, the User shall agree to these Terms, and personally apply for the purchase of Contents according to the Company’s prescribed procedures. If there is any error in the personal information when purchasing the Contents, the User may not use the Service.
  • 4. The Contents purchased in the Service may not be cancelled and the Service Fee, once paid, will not be refunded. Even if the application for purchase is made redundantly and the same Contents are purchased multiple times in the Service due to the User’s input error or problems with the User’s communication environment, the Company will merely be liable under the provision of Article 11.
Article 5 (Ownership of Rights)
  • 1. Copyrights of all information, including the Contents, in the Service shall belong to the Company or the provider of the Contents.
  • 2. The User may not use (including, but not limited to, acts of replication, falsification and distribution) the Contents and information on the Site beyond the scope permitted under laws, such as for private use.
Article 6 (Recommended System Requirements)
The recommended system requirements of the Service will be separately prescribed by the Company and posted on the Site.
Article 7 (Preparation of Equipment, etc.)
The User shall prepare, under one’s own responsibility and cost burden, an environment which enables the use of the Service including the preparation of communication equipment and software, and the conclusion of a phone service contract and an internet service contract. Any and all communication fees and interconnection fees related to the Service shall be borne by the User.
Article 8 (Prohibited Acts)
  • 1. The User may use the Service and view the Contents only according to the Company’s prescribed method, and the following acts are prohibited by the Company:
    • (1) act of infringing upon, or act which may infringe upon, the copyrights, trademark rights and other intellectual property rights, portrait rights, privacy or other rights in the Service, including the contents and information of the Service;
    • (2) act of commercially using information obtained from the Service;
    • (3) act of providing, assigning or selling the User’s email address or ID to a third party;
    • (4) act of using or providing, through or in relation to the Service, a computer virus or any other harmful program;
    • (5) act of violating, or act which may violate, laws;
    • (6) act of breaching these Terms; and
    • (7) any other act deemed inappropriate by the Company.
  • 2. If the User conducts any act corresponding to the preceding paragraph, the Company may suspend the use of the Service by the User without requiring any prior notice. In the foregoing case, the User shall immediately pay the Service Fee up to the time that the Company suspended the User’s use of the Service. The User that forfeited one’s entitlement to use the Service pursuant to this paragraph may not exercise any rights such as the right to claim for damages.
Article 9 (Suspension of Service)
  • 1. When corresponding to any of the following items, the Company may suspend the provision of all or a part of the Service:
    • (1) a failure occurs in the equipment used by the Company for providing the Service, or such equipment is to undergo maintenance and inspection or improvement and repair;
    • (2) the Service cannot be provided due to a fire, blackout, calamity or any other force majeure event; or
    • (3) the Company otherwise deems that the provision of the Service is difficult.
  • 2. When the Company is to suspend the provision of the Service pursuant to the provisions of the preceding paragraph, the Company shall notify the User in advance according to a method deemed appropriate by the Company; save for cases of emergency.
Article 10 (Change / Discontinuation of Service)
The Company may change the content, name and other details of the Service (including the Contents), and suspend the distribution of the Contents, without requiring any prior announcement or notice to the User.
Article 11 (Liability)
  • 1. If the User causes damage to or inflicts loss on a third party, including other Users, as a result of using the Service, the Company and the provider of the Contents shall not be liable in any way therefor, and the User shall, under one’s own responsibility and cost burden, resolve such damage suffered or loss incurred by the third party as well as all problems related thereto, and shall not impose any burden on the Company and the provider of the Contents.
  • 2. If the User causes damage to the Company or the provider of the Contents as a result of breaching these Terms or engaging in a fraudulent or illegal act, the Company and the provider of the Contents may seek damages against the User.
  • 3. The Company may suspend, discontinue or abolish all or a part of the Service without having to obtain the User’s approval. Even if the provision of the Service is delayed, suspended, discontinued or abolished, the Company shall merely be liable under the provisions of the following paragraph (4.).
  • 4. The Company shall only be liable for damages claims, irrespective of their legal nature, including, in particular, breach of contractual duty or tort, in the following cases:.
    • a) wilful misconduct;
    • b) death or personal injury;
    • c) failure to fulfil an expressly assumed guaranty;
    • d) if in other cases legal provisions provide for liability regardless of negligence or fault;
    • e) gross negligence; and/or
    • f) in case of a breach of a Material Duty;
    • Apart from that, the Company´s liability is excluded. A "Material Duty" within the meaning of the present agreement shall be (i) any contractual duty protecting an essential contractual position, the granting of which position is an essential aim and purpose of the agreement, and/or (ii) any contractual duty the fulfilment of which is a basic requirement enabling the proper performance of the Service in the first place and in the fulfilment of which the User may usually trust.
    • 4.1 In the case of section 4 d) to f), the Company shall only be liable for the typical and foreseeable damage.
    • 4.2 The exclusions or limitations of liability shall also apply to the same degree in relation to any acts of Company´s legal representatives, executive and non-executive employees and other vicarious agents as well as subcontractors.
    • 4.3 The aforementioned provisions shall not be interpreted as a shift of the burden of proof.
    • 4.4 The Company shall not be liable for failure to fulfil any of its obligations in case the failure is caused by circumstances beyond its control (force majeure). During force majeure the obligation to fulfil its obligations shall be suspended. In the event that the performance of the contractual obligations is made impossible by force majeure for a period longer than thirty days, each party shall be entitled to withdraw from the agreement without judicial intervention and without any obligation whatsoever to compensate the damage of the User.
    • 4.5 For the loss of data the Company shall only be liable up to the amount that would have been incurred if the data had been properly and regularly backed up for recovery.
Article 12 (Management of Registered Information)
  • 1. The User must not allow a third party to use one’s email address or ID, or assign or sell the same to a third party.
  • 2. The User shall manage one’s email address and ID under one’s own responsibility, and the User shall be liable for any damage caused by the inadequate management or erroneous use of the foregoing information, or the use of the foregoing information by a third party.
Article 13 (Handling of Personal Data, etc.)
  • 1. In order to maintain the personal data provided from the User in an accurate and updated state and prevent the unauthorized access, loss, damage, falsification or divulgence of personal information, the Company will strictly manage personal information by taking measures required for establishing a maintenance/management structure of a security system and thoroughly training its employees on the handling of personal information.
  • 2. All details of handling personal data of the User are set out in the Company’s Privacy Policy.
Article 14 (No Transfer, etc. of Rights and Obligations)
No User may transfer, lease, create a pledge or any other security on, or otherwise in any way dispose all or a part of one’s rights and obligations under these Terms.
Article 15 (Governing Law)
These Terms shall be governed by the laws of Japan.
Article 16 (Agreed Jurisdiction)
Any and all legal action related to these Terms or the Service shall be submitted to the Tokyo District Court as the competent court of agreed jurisdiction for the first instance.
Article 17 (Consumer Dispute Settlement Proceedings)
The EU-Commission’s platform for the online-settlement of disputes can be accessed online under www.ec.europa.eu/consumers/odr. The Company hereby informs the user that it is not obliged and does not agree to participate in settlement proceedings before any consumer arbitration boards. Rather, the Company is always ready to solve any conflicts with its customers directly. For this purpose please contact the Company's customer service.
Article 18 (Third Party Beneficiary)
User agrees that Sony Music Solutions Inc. (“SMS”), which provides the platform for the Service, shall be deemed a beneficiary of these Terms to the same extent as the Company in the event that a claim is asserted against SMS that is in any way related to the Service, including but not limited to Articles 11, 15 and 16.
Article 19(Consultation)
If any doubts arise regarding matters that are not prescribed herein or in the interpretation of the respective provisions hereof, the Company and the User shall consult in good faith and resolve such doubts.
Article 20 (Language)
In addition to the English version, these Terms may be translated into the language of the Service area. If there is any inconsistency in the meaning or wording between the English version and the translated version, the English version shall prevail.
Supplementary Provision
These Terms were formulated and enforced on December 25, 2020.

  • 3. The User is obligated to comply with these Terms in good faith.

If any change, addition, amendment, deletion or the like (collectively, the “Change”) becomes required in these Terms, the Company may Change these Terms in a reasonable and adequate manner to the extent that such Change will not be in conflict with the purpose of these Terms before such Change.

  • 1. 본 서비스상의 본 콘텐츠를 포함한 모든 정보의 저작권(일본 저작권법 제27조 및 제28조의 권리를 포함합니다)은 당사 또는 본 콘텐츠 제공자에게 귀속됩니다.
  • 2. 이용자가 사적 사용 등 법률상 인정되는 범위를 초과하여 본 콘텐츠 및 본 사이트상 정보를 이용(복제, 수정, 배포 등을 포함하되 이에 한정되지 아니합니다)하는 것은 금지됩니다.
제6조 (이용 권장 환경)
본 서비스의 이용 권장 환경은 당사가 별도로 정하며, 본 사이트에 표시합니다.
제7조 (설비 등 준비)
이용자는 자기의 책임과 비용으로 통신기기·소프트웨어 등을 준비하고, 전화이용계약·인터넷접속계약 체결 등 본 서비스 이용이 가능한 환경을 준비합니다. 또한, 본 서비스에 관한 일체의 통신료, 접속료 등은 이용자가 부담합니다.
제8조 (금지행위)
  • 1. 이용자는 당사가 규정한 방법에 의해서만 본 서비스 이용 및 본 콘텐츠 시청이 가능하며, 당사는 아래의 행위를 금지합니다.
    • (1) 본 서비스의 내용, 정보 등 본 서비스에 포함되는 저작권, 상표권 등의 지적재산권, 초상권, 프라이버시 또는 기타 권리를 침해하는 행위 및 그러한 우려가 있는 행위
    • (2) 본 서비스를 통해 취득한 정보를 상업적으로 이용하는 행위
    • (3) 이용자의 이메일 주소나 ID를 제3자에게 제공, 양도, 매매 등 하는 행위
    • (4) 컴퓨터 바이러스 등 유해 프로그램을 본 서비스를 통해 또는 본 서비스와 관련하여 사용하거나 이를 제공하는 행위
    • (5) 법령을 위반하거나 위반할 우려가 있는 행위
    • (6) 본 규약을 위반하는 행위
    • (7) 그 외 당사가 부적절하다고 판단하는 행위
  • 2. 이용자가 전항에 해당하는 행위를 한 경우, 당사는 사전에 고지하지 아니하고 해당 이용자의 본 서비스 이용을 정지할 수 있습니다. 이 경우, 이용자는 이용정지 대응을 한 시점까지의 본 서비스요금을 즉시 지불합니다. 또한, 본항에 따라 이용 자격을 상실한 이용자는 본 서비스에 접속하고 이용하는 권리를 상실하는 동시에 손해배상 청구 등 일체의 권리 행사를 할 수 없습니다.
제9조 (서비스 일시정지)
  • 1. 당사는 아래 각호에 해당하는 경우에는 본 서비스의 전부 또는 일부의 제공을 일시정지할 수 있습니다.
    • (1) 당사가 본 서비스를 제공하기 위해 사용하는 설비에 장애가 발생하거나 해당 설비에 대하여 보수 점검 또는 개수 등을 하는 경우
    • (2) 화재, 정전, 천재지변 등의 불가항력에 의해 본 서비스를 제공할 수 없는 경우
    • (3) 그 외 당사가 본 서비스를 제공하기 어렵다고 판단한 경우
  • 2. 당사는 전항의 규정에 따라 본 서비스의 제공을 일시정지하는 경우, 당사가 적당하다고 판단하는 방법으로 사전에 이용자에게 통지합니다. 단, 긴급한 경우에는 그러하지 아니합니다.
제10조 (서비스 변경·중지)
당사는 이용자에게 사전 예고, 통지 없이 본 서비스(본 콘텐츠를 포함한다)의 내용 및 명칭 등을 변경하거나 본 콘텐츠 송신을 정지할 수 있습니다.
제11조 (책임)
  • 1. 이용자가 본 서비스의 이용을 통하여 다른 이용자를 포함한 제3자에게 손해 또는 손실을 발생시킨 경우, 당사 및 본 콘텐츠 제공자는 일체 책임을 부담하지 아니하며, 이용자는 자기 책임과 비용 부담으로 해당 제3자에게 발생한 손해 또는 손실 및 이와 관련한 모든 문제를 처리 해결하고 당사들에 여하한 부담이 발생하지 않도록 합니다.
  • 2. 이용자가 본 규약을 위반한 행위 또는 부정 혹은 위법 행위로 당사 또는 본 콘텐츠 제공자에게 손해를 입힌 경우, 당사 및 본 콘텐츠 제공자는 해당 이용자에게 손해배상 청구를 할 수 있습니다.
  • 3. 당사는 이용자의 승낙을 받지 아니하고 본 서비스의 일부 또는 전부를 일부정지, 중지 또는 폐지할 수 있습니다. 당사는 적용되는 법률상 허용되는 범위 내에서 본 서비스 제공의 지연, 일시정지, 중지 또는 폐지 등이 발생한 경우에 이용자에게 발생한 어떠한 손해에 대해서도 해당 손해가 당사의 고의 또는 중과실에 의한 경우를 제외하고 책임을 부담하지 아니합니다.
  • 4. 당사는 어떠한 이용 형태로든 적용되는 법률상 허용되는 범위 내에서 본 서비스를 이용함으로써 이용자에게 발생한 어떠한 손해에 대해서도, 해당 손해가 당사의 고의 또는 중과실에 의한 경우를 제외하고 그 책임을 부담하지 아니합니다.
제12조 (등록정보 관리)
  • 1. 이용자는 자기의 이메일 주소나 ID를 제3자에게 이용하게 하거나 양도, 매매 등을 해서는 아니 됩니다.
  • 2. 이용자는 자기의 이메일 주소나 ID를 자기 책임으로 관리하며, 해당 정보의 관리 미흡, 사용상 과오, 제3자 사용 등으로 인한 손해의 책임은 이용자가 부담하기로 하며, 당사는 일체 책임을 부담하지 아니합니다.
제13조 (개인정보 등의 취급 관련
본 서비스에 관하여 당사가 취득한 고객의 정보는개인정보 처리방침에 따라 취급됩니다. [개인정보 처리방침]
제14조 (권리의무 양도 등 금지)
이용자는 본 규약에 따른 권리 의무의 전부 또는 일부에 대하여 양도, 대여 또는 입질 등 담보 설정 그 외 일체의 처분을 할 수 없습니다.
제15조 (준거법·합의관할)
본 규약에 따른 준거법은 일본법으로 합니다. 본 규약 또는 본 서비스에 관한 모든 소송에 대해서는 도쿄지방재판소를 1심 전속적 합의관할재판소로 합니다.
제16조 (협의사항)
당사 및 이용자는 본 규약에 정함이 없는 사항 또는 본 규약의 각 조항의 해석에 의문이 발생한 경우에는 성의를 가지고 협의하여 이를 처리 해결합니다.
제17조 (언어)
본 규약은 영문본에 더하여, 본 서비스 제공 영역의 언어로 번역되는 경우가 있으며, 영문본과 번역본 간에 의미 또는 문언에 불일치가 있는 경우에는, 영문본이 우선합니다.

Terms of Use of Paid Video Streaming Service

Article 1 (Scope of and Changes to these Terms)
1. These Terms of Use of Paid Video Streaming Service (these “Terms”) shall apply to the user (the “User”) of the Service (as defined below) in the Service area in relation to the use of the viewing service (the “Service”) of videos and other contents (the “Contents”) provided by the Company (as defined below) on the paid video streaming site “Johnny’s net online” (the “Site”) operated and managed by Johnny & Associates, Inc. (the “Company”).
2. At the time that the User starts using the Service, it shall be deemed that the User has agreed to the subject matter of these Terms, and further agreed that these Terms constitute the subject matter of a contract between the Company and the User. The User understands that the User will have agreed to the contents of these Terms by checking the box stating that the User consents to the latest Terms of Service.
3. The User is obligated to comply with these Terms in good faith.
4. If any change, addition, amendment, deletion or the like (collectively, the “Change”) becomes required in these Terms, the Company may Change these Terms in a reasonable and adequate manner to the extent that such Change will not be in conflict with the purpose of these Terms before such Change.
5. When the Company is to Change these Terms, the Company will notify the User of the subject matter of the Change and the timing that these Terms after the Change will come into effect by posting the same on the Site a reasonable period before the Change.
6. Once the Company properly provides the notification of the preceding paragraph to the User, these Terms after the Change shall apply to the User irrespective of whether the User is aware or unaware of the Change.
7. The Service is not intended to be provided to children under the age of 13 years, and children under the age of 13 years may not use the Service.

Article 2 (Definitions)
Each of the following terms used in these Terms shall be defined as follows.
1. “Company” means Johnny & Associates, Inc.
2. “Site” means the website “Johnny’s net online” operated and managed by the Company.
3. “Contents” means videos and other contents provided by the Company on the Site via streaming distribution.
4. “Service” means the service provided by the Company for the User to view the Contents, for a fee, using a terminal that is compatible with the Service.
5. “User” means the individual to use the Service.

Article 3 (Service Fee)
1. When using the Service and purchasing individual Contents, the User shall pay the prescribed fee (the “Service Fee”) posted on the Site. The viewing period of the Contents shall be posted on the Site.
2. The User shall confirm, as needed, information such as the amount and other terms of payment of the latest Service Fee, and the viewing period of the Contents, of the Service that the User is using.

Article 4 (Application for Using Service)
1. When using the Service, the User shall register one’s email address on the Site as the User’s ID (the “ID”). The User may use one’s ID validly during the viewing period of the Contents purchased by the User based on the foregoing registration.
2. If the User of the Service is a minor in the country, state or region in which the Service is used, the parent or guardian of such minor shall provide prior consent to these Terms on behalf of the minor, in accordance with the laws of such country, state or region, in using the Service, and authorize the registration of the ID in the preceding clause and the purchase of tickets through the Service. The User who is a minor consents to the Company taking procedures to confirm the contact information and consent by the parent or guardian.
3. When using the Service, the User shall agree to these Terms, and personally apply for the purchase of Contents according to the Company’s prescribed procedures. If there is any error in the personal information when purchasing the Contents, the User may not use the Service.
4. The Contents purchased in the Service may not be cancelled and the Service Fee, once paid, will not be refunded. Even if the application for purchase is made redundantly and the same Contents are purchased multiple times in the Service due to the User’s input error or problems with the User’s communication environment, the Company will not be liable in any way unless it was caused by the Company’s willful misconduct or gross negligence.

Article 5 (Ownership of Rights)
1. Copyrights (including the rights in Article 27 and Article 28 of the Copyright Law of Japan) of all information, including the Contents, in the Service shall belong to the Company or the provider of the Contents.
2. The User may not use (including, but not limited to, acts of replication, falsification and distribution) the Contents and information on the Site beyond the scope permitted under laws, such as for private use.

Article 6 (Recommended System Requirements)
The recommended system requirements of the Service will be separately prescribed by the Company and posted on the Site.

Article 7 (Preparation of Equipment, etc.)
The User shall prepare, under one’s own responsibility and cost burden, an environment which enables the use of the Service including the preparation of communication equipment and software, and the conclusion of a phone service contract and an internet service contract. Any and all communication fees and interconnection fees related to the Service shall be borne by the User.

Article 8 (Prohibited Acts)
1. The User may use the Service and view the Contents only according to the Company’s prescribed method, and the following acts are prohibited by the Company:
(1) act of infringing upon, or act which may infringe upon, the copyrights, trademark rights and other intellectual property rights, portrait rights, privacy or other rights in the Service, including the contents and information of the Service;
(2) act of commercially using information obtained from the Service;
(3) act of providing, assigning or selling the User’s email address or ID to a third party;
(4) act of using or providing, through or in relation to the Service, a computer virus or any other harmful program;
(5) act of violating, or act which may violate, laws;
(6) act of breaching these Terms; and
(7) any other act deemed inappropriate by the Company.
2. If the User conducts any act corresponding to the preceding paragraph, the Company may suspend the use of the Service by the User without requiring any prior notice. In the foregoing case, the User shall immediately pay the Service Fee up to the time that the Company suspended the User’s use of the Service. The User that forfeited one’s entitlement to use the Service pursuant to this paragraph will lose the rights to access and use the Service and may not exercise any rights such as the right to claim for damages.

Article 9 (Suspension of Service)
1. When corresponding to any of the following items, the Company may suspend the provision of all or a part of the Service:
(1) a failure occurs in the equipment used by the Company for providing the Service, or such equipment is to undergo maintenance and inspection or improvement and repair;
(2) the Service cannot be provided due to a fire, blackout, calamity or any other force majeure event; or
(3) the Company otherwise deems that the provision of the Service is difficult.
2. When the Company is to suspend the provision of the Service pursuant to the provisions of the preceding paragraph, the Company shall notify the User in advance according to a method deemed appropriate by the Company; save for cases of emergency.

Article 10 (Change / Discontinuation of Service)
The Company may change the content, name and other details of the Service (including the Contents), and suspend the distribution of the Contents, without requiring any prior announcement or notice to the User.

Article 11 (Liability)
1. If the User causes damage to or inflicts loss on a third party, including other Users, as a result of using the Service, the Company and the provider of the Contents shall not be liable in any way therefor, and the User shall, under one’s own responsibility and cost burden, resolve such damage suffered or loss incurred by the third party as well as all problems related thereto, and shall not impose any burden on the Company and the provider of the Contents.
2. If the User causes damage to the Company or the provider of the Contents as a result of breaching these Terms or engaging in a fraudulent or illegal act, the Company and the provider of the Contents may seek damages against the User.
3. The Company may suspend, discontinue or abolish all or a part of the Service without having to obtain the User’s approval. Even if the provision of the Service is delayed, suspended, discontinued or abolished, to the extent permitted by the applicable laws, the Company shall not be liable for any damage that was consequently suffered by the User unless such damage was caused by the Company’s willful misconduct or gross negligence.
4. To the extent permitted by the applicable laws, the Company shall not be liable for any damage that is suffered by the User as a result of using the Service, irrespective of the mode of use, unless such damage was caused by the Company’s willful misconduct or gross negligence.

Article 12 (Management of Registered Information)
1. The User must not allow a third party to use one’s email address or ID, or assign or sell the same to a third party.
2. The User shall manage one’s email address and ID under one’s own responsibility, and the User shall be liable for any damage caused by the inadequate management or erroneous use of the foregoing information, or the use of the foregoing information by a third party, and the Company shall not be liable in any way therefor.

Article 13 (Handling of Personal Information, etc.)
The User’s information acquired by the Company in connection with the Service shall be handled in accordance with the Privacy Policy. [Privacy Policy]

Article 14 (No Transfer, etc. of Rights and Obligations)
No User may transfer, lease, create a pledge or any other security on, or otherwise in any way dispose all or a part of one’s rights and obligations under these Terms.

Article 15 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan. Any and all legal action related to these Terms or the Service shall be submitted to the Tokyo District Court as the court of exclusive jurisdiction for the first instance.

Article 16 (Consultation)
If any doubts arise regarding matters that are not prescribed herein or in the interpretation of the respective provisions hereof, the Company and the User shall consult in good faith and resolve such doubts.

Article 17 (Language)
In addition to the English version, these Terms may be translated into the language of the Service area. If there is any inconsistency in the meaning or wording between the English version and the translated version, the English version shall prevail.


Supplementary Provision
These Terms were formulated and enforced on July 10, 2020.

Términos de Servicios

Los presentes Términos de Servicio (los presentes "Términos") establecen los términos y condiciones de uso del servicio de distribución de video (el "Servicio") proporcionado por Johnny & Associates, Inc. (la"Empresa") para los clientes en el área de Servicio (el "Cliente").

1. Servicio
  • 1-1 Los datos y documentos relacionados, etc. y sus versiones actualizadas / mejoradas de igual forma forman parte del Servicio.
  • 1-2 La Empresa podrá colocar anuncios de la Empresa y de terceros en cualquier parte del Servicio.
  • 1-3 Se requiere un entorno de Internet para utilizar el Servicio. El Cliente será responsable de la configuración y el mantenimiento de dicho entorno de Internet por cuenta del Cliente, lo cual incluye asumir la carga de los cargos de comunicación y garantizar la seguridad de la red.
  • 1-4 El Servicio no está destinado a ser utilizado con el propósito de realizar copias de seguridad o almacenar datos. Bajo ningún supuesto la Empresa será responsable por la pérdida, alteración o similar de los datos contenidos en los Servicios, o por la imposibilidad de acceder, usar, cargar o descargar los datos contenidos en los Servicios, excepto cuando las entradas, etc. compradas por los Clientes se pierdan o de alguna otra manera no puedan ser utilizadas debido a razones atribuibles a la Empresa, ni la Empresa será responsable en caso de eliminación de una cuenta de usuario, o por alteración, interrupción o terminación de los Servicios.
  • 1-5 Es posible que se proporcionen partes del Servicio mediante el pago de una tarifa, y los precios y las condiciones de pago se anunciarán en el sitio web del Servicio. Salvo que lo exija la ley, las tarifas pagadas por el Servicio no serán reembolsadas.
2. Cuenta de Usuario
  • 2-1 Para utilizar el Servicio, el Cliente deberá proporcionar de forma adecuada a la Empresa la información requerida y crear una cuenta de usuario (la "Cuenta"). El Cliente de podrá crear una Cuenta utilizando una cuenta de usuario para otros servicios (incluyendo los servicios de terceros) designados por la Empresa. En caso de que la Empresa considere que alguno de los siguientes supuestos es aplicable o que la prestación del Servicio resulta imposible o inapropiada, la Empresa podrá negarse a crear una Cuenta, eliminar la Cuenta ya creada o tomar cualquier otra medida según la Empresa considere apropiada.
    • (1) En caso de que el Cliente sea menor de edad en el área de Servicio y no haya obtenido el consentimiento de un representante legal o apoderado requerido para usar el Servicio tal como lo exigen las leyes relativas al área de Servicio.
    • (2) Si el Cliente proporciona a la Empresa información que no concuerda con los hechos, por ejemplo, utilizando el nombre de otra persona o haciendo declaraciones falsas.
    • (3) Si el Cliente ha violado los presentes Términos o cualquier ley y reglamento aplicable durante el uso del Servicio o en el pasado.
    • (4) Si el Cliente califica dentro de un supuesto para ser clasificado dentro de alguna categoría de grupo del crimen organizado, miembro de un grupo del crimen organizado, aquellos que fueron miembros de un grupo del crimen organizado en los últimos cinco años, un miembro asociado de un grupo del crimen organizado, un estafador, un grupo que realice actividades delictivas con el pretexto de realizar campañas sociales, un grupo delictivo especializado en delitos intelectuales, etc., cualquier otra persona equivalente a los presentes, una persona designada por una agencia gubernamental o un gobierno extranjero como sujeta a sanciones económicas, o un residente de un país o región designado por una agencia gubernamental o gobiernos extranjeros como sujeto a sanciones económicas (conjuntamente “ Fuerzas Antisociales ”), o una persona moral que tenga Fuerzas Antisociales involucradas en su administración.
    • (5) Si el Cliente ha creado ya una Cuenta.
  • 2-2 En caso de cambiar cualquier información proporcionada por el Cliente a la Empresa en relación con el uso del Servicio, el Cliente deberá llevar a cabo el procedimiento de cambio prontamente y de conformidad con el procedimiento indicado por la Empresa.
  • 2-3 El Cliente no utilizará la Cuenta de otro Cliente para utilizar el Servicio y no permitirá que ningún tercero utilice la Cuenta de dicho Cliente.
  • 2-4 El Cliente gestionará adecuadamente la información relacionada con la propia Cuenta de dicho Cliente, incluyendo el ID y la contraseña. El Cliente será responsable de todos los actos y resultados del uso del Servicio con la propia Cuenta de dicho Cliente.
  • 2-5 El Cliente podrá retirarse del Servicio (eliminar la Cuenta de dicho Cliente) en cualquier momento mediante los procedimientos establecidos por la Empresa. Tras su retiro, el Cliente perderá todos los derechos bajo los presentes Términos; en el entendido, sin embargo, que los presentes Términos continuaran aplicándose incluso con posterioridad a dicho retiro con respecto a los asuntos relacionados con el uso del Servicio por parte del Cliente con anterioridad a dicho retiro.
3. Privacidad
La información del Cliente adquirida por la Empresa en relación con el Servicio se tratará de conformidad con la Política de Privacidad de la Empresa.
4. Asuntos Prohibidos
  • 4-1 Al utilizar el Servicio, el Cliente no intentará ni realizará los siguientes actos y no cooperará con, ni promoverá dichos actos por parte de, terceros.
    • (1) Infringir los derechos o intereses legalmente protegidos (incluyendo todos los derechos de propiedad intelectual, secretos comerciales, honores, derechos de privacidad, derechos de retrato, derechos de publicidad y derechos de propiedad) de la Empresa o de terceros;
    • (2) Violar leyes, reglamentos, decisiones judiciales u otras disposiciones legalmente vinculantes emitidas por alguna autoridad pública, u ofender el orden público y la moral;
    • (3) Insultar, difamar, calumniar a la Empresa o cualquier tercero, o en el dominio público del Servicio, o cargar o transmitir por otros medios cualquier expresión u otra información que incluya contenido ofensivo o antisocial (incluyendo expresiones que sean excesivamente violentas, explícitamente sexuales o que puedan conducir a la discriminación);
    • (4) Intimidación, acoso o cualquier otro acto que obstruya el buen uso del Servicio por parte de otros Clientes (incluyendo el envío de información falsa o spam o la interferencia con las comunicaciones de otros Clientes);
    • (5) Recopilación o uso ilegal, o divulgación o proporcionar a un tercero de información personal, otra información relacionada con la privacidad o información confidencial, como contraseñas, de otros;
    • (6) Usar el Servicio para realizar actos con fines de lucro (excepto cuando la Empresa lo apruebe previamente por escrito), para reunirse o socializar con extraños del sexo opuesto, o para realizar actos con otros fines distintos del propósito previsto del Servicio;
    • (7) Descargar, distribuir, poner a disposición para transmisión pública, modificar, operar, realizar ingeniería inversa, descompilar, desensamblar, borrar, etc. de todo o parte del Servicio más allá del alcance expresamente autorizado por la Empresa (incluyendo el caso de deshabilitar o evitar funciones tales como como protección de contenido y control de acceso, o mal uso intencional de defectos en el Servicio);
    • (8) Incorporar o ejecutar virus u otros programas o archivos que interfieran con el correcto funcionamiento, obstruyan / controlen las operaciones de, o naveguen / adquieran o dañen los datos de terminales de información, dispositivos de red, sistemas, etc. gestionados por la Empresa o terceros., en dichos terminales de información, etc.;
    • (9) Impedir el funcionamiento normal y sin problemas del Servicio, por ejemplo, imponiendo una carga excesiva al servidor del Servicio o haciendo una solicitud excesiva más allá del alcance del ejercicio legítimo de los derechos en virtud de los presentes Términos;
    • (10) Cualquier otra violación de los presentes Términos; o
    • (11) Otros asuntos comparables considerados inapropiados por la Empresa.
  • 4-2 En caso de que la Empresa determine que el Cliente infringe los presentes Términos, la Empresa podrá suspender o eliminar la Cuenta de dicho Cliente o tomar cualquier otra acción y no tendrá responsabilidad alguna por razón de dicha acción.
  • 4-3 A menos que la ley exija lo contrario, la Empresa no tiene la obligación de monitorear las actividades en línea del Cliente en el Servicio; en el entendido, sin embargo, que en la medida en que lo permitan las leyes y normativas y con fines legítimos, como garantizar el cumplimiento de las leyes y los presentes Términos, la Empresa podrá registrar actividades en línea en el Servicio y explorar y divulgar las mismas.
5. Derechos de Propiedad Intelectual
  • 5-1 Los derechos de propiedad intelectual y otros derechos relacionados con el Servicio son propiedad o están controlados por la Empresa o el titular de los derechos originales que otorgó la licencia a la Empresa (el "Titular de Derechos Originales"). Los presentes Términos no otorgan al Cliente ningún derecho o licencia para reproducir o utilizar de otro modo los derechos de propiedad intelectual de la Empresa o de terceros.
  • 5-2 El Servicio podrá incluir software para el cual el Titular de Derechos Originales ha establecido términos de uso diferentes a los presentes Términos. Si la Empresa notifica dichos términos de uso dentro del Servicio, el Cliente utilizará el Servicio de conformidad con dichos términos de uso.
  • 5-3 Por la presente, el Cliente concede a la Empresa el derecho no exclusivo (con derecho a sublicenciar el mismo) de utilizar cualquier imagen, sonido, texto u otra información publicada o transmitida por el Cliente en relación con el Servicio (el "Contenido Publicado") (tal el uso incluye reproducción, distribución, transmisión pública, omisión parcial y otras adaptaciones), en toda el área de Servicio, sin cargo, por la Empresa o cualquier parte designada por la Empresa, en la medida permitida por las leyes aplicables. Será responsabilidad del Cliente confirmar que el Contenido Publicado no infrinja los derechos de terceros y se ajuste a los contenidos de los presentes Términos.
  • 5-4 La Empresa podrá tomar cualquier medida, incluyendo la eliminación del Servicio, con respecto a cualquier Contenido Publicado que la Empresa considere que infringe los presentes Términos o resulte inapropiado, sin previo aviso al Cliente. La Empresa no será responsable ante el Cliente por tal acción.
6. Cambio, Suspensión, Terminación del Servicio
  • 6-1 La Empresa podrá modificar o cancelar el Servicio, total o parcialmente. En relación con dichas modificaciones, podrá ser necesario que el Cliente actualice el Servicio, incluyendo el software correspondiente, como condición para continuar utilizando el Servicio.
  • 6-2 La Empresa podrá suspender la prestación del Servicio en su totalidad o en parte durante el período de tiempo necesario en caso de actualizarse alguno de los siguientes supuestos:
    • (1) Cuando haya una interrupción en la prestación de servicios de terceros (incluyendo, entre otros, servicios de telecomunicaciones y servicios en la nube) los cuales sean necesarios para proporcionar el Servicio;
    • (2) Cuando sea necesario suspender el Servicio para realizar el mantenimiento y/o inspección del sistema necesario para la prestación del Servicio o para atender su avería, defecto, etc .;
    • (3) Si el Servicio no se pudiere proporcionar debido a un corte de energía, un desastre natural, una disputa laboral u otro evento de fuerza mayor; o
    • (4) Cuando la Empresa lo considere inevitable.
  • 6-3 Excepto en caso de emergencia, la Empresa notificará al Cliente con anterioridad a cualquier cambio, suspensión o terminación de todo o parte del Servicio si dicho cambio, suspensión o terminación tendría un impacto significativo en el Cliente.
  • 6-4 La Empresa no será responsable por ningún daño o perjuicio u otras consecuencias incurridas por el Cliente en relación con cualquier cambio, suspensión o terminación del Servicio, excepto cuando dichos daños y perjuicios o consecuencias sean atribuibles a la Empresa.
7. Limitación de Responsabilidad
  • 7-1 Excepto en la medida en que lo prohíban las leyes aplicables, la Empresa no realiza ni otorga declaración ni garantía alguna, ya sean expresas o implícitas, con respecto a la precisión, seguridad y cualquier otro asunto del contenido de sitios web y servicios de terceros a los que se pueda acceder a través de un enlace en el Servicio, incluyendo los anuncios en el Servicio. La Empresa no será responsable por daños y perjuicios u otras consecuencias que surjan del uso por parte del Cliente de dichos sitios web o servicios.
  • 7-2 En caso de surgir alguna disputa entre el Cliente y un tercero debido a la violación de derechos o por cualquier otro motivo en relación con el uso del Servicio por parte del Cliente, el Cliente resolverá dicha disputa por su cuenta y responsabilidad, y la Empresa no será considerado responsable bajo ningún supuesto.
  • 7-3 Excepto en la medida en que lo prohíban las leyes aplicables, la Empresa no realiza ni ofrece declaraciones ni garantías, ya sean expresas o implícitas, con respecto a la calidad o cualquier otro aspecto del Servicio (incluyendo defectos como errores, defectos de seguridad y la violación de derechos de terceros).
  • 7-4 Sin perjuicio de cualquier otra disposición de los presentes Términos, y en la medida en que lo permitan las leyes aplicables, en caso de daños y perjuicios sufridos por el Cliente debido a un incumplimiento o acto ilícito de la Empresa, la Empresa será responsable de dichos daños y perjuicios solo en la medida en que se incurra normalmente por el Cliente y hasta el monto total de las tarifas de uso que la Empresa recibió del Cliente dentro del período de tres (3) meses anterior, y no será responsable por ningún daño o perjuicio emergente, daño o perjuicio indirecto u otros daños y perjuicios que surjan de circunstancias especiales (incluyendo los casos previstos o previsibles). 8. Cesión

9. Cambios en los Términos
La Empresa podrá cambiar los presentes Términos en cualquier momento en la medida permitida por la ley. Terms of Service

These Terms of Service (these “Terms”) set forth the terms and conditions of use of the video distribution service (the “Service”) provided by Johnny & Associates, Inc. (the “Company”) for customers in the Service area (the “Customer”).
The Company may set separate terms and conditions related to the Service (including terms of use to be additionally applied to parts of the Service, operational rules to be separately notified within the Service) (the “Individual Terms”; which shall be deemed to constitute a part of these Terms except when otherwise specifically referred to), and the Customer shall also use the Service in accordance with the Individual Terms. If there is any discrepancy between these Terms and the Individual Terms or the contents of other websites, these Terms shall prevail unless otherwise specified.
If the Customer is a minor in the country or region that the Service is used, such Customer must obtain consent to these Terms from his/her parent or guardian or have the required parent or guardian consent to these Terms on his/her behalf, in accordance with the laws of such country or region, before using the Service.
1. Service
  • 1-1 Related data and documents, etc. and their updated/upgraded versions also constitute part of the Service.
  • 1-2 The Company may place advertisements for the Company and third parties anywhere on the Service.
  • 1-3 An Internet environment is required to use the Service. The Customer shall be responsible for setting up and maintenance of such Internet environment at such Customer’s own expense, including bearing the burden of communication charges and ensuring network security.
  • 1-4 The Service is not intended to be used for the purpose of backup or storage of any data. The Company shall not be liable in any way for loss, alteration or the like of data contained in the Services, or inability to access, use, upload or download data contained in the Services except where tickets, etc. purchased by Customers are lost or otherwise become unable to be used due to reasons attributable to the Company, nor shall the Company be liable in the event of deletion of a user account, or for alteration, interruption or termination of the Services.
  • 1-5 Parts of the Service may be provided for a fee, and prices and payment terms will be announced on the website for the Service. Except as required by law, fees paid for the Service will not be refunded.
2. User Account
  • 2-1 To use the Service, the Customer shall properly provide the Company with the required information and create a user account (the “Account”). The Customer may also create an Account by using a user account for other services (including third party services) designated by the Company. If the Company believes that any of the following applies or the provision of the Service is otherwise impossible or inappropriate, the Company may refuse to create an Account, delete the Account already created or take any other measures that the Company deems appropriate.
    • (1) If the Customer is a minor in the Service area and has not obtained the consent of a statutory agent or required proxy to use the Service as required under the laws regarding the Service area.
    • (2) If the Customer provides the Company with information inconsistent with the facts, such as by using another person’s name or making a false statement.
    • (3) If the Customer has violated these Terms or any applicable laws and regulations during the use of the Service or in the past.
    • (4) If the Customer falls under the category of an organized crime group, a member of an organized crime group, those who were a member of an organized crime group in the past five years, an associate member of an organized crime group, a racketeer, a group engaging in criminal activities under the pretext of conducting social campaigns, a crime group specialized in intellectual crimes, etc., any other person equivalent to these, a person designated by a governmental agency or a foreign government as subject to economic sanctions, or a resident of a country or region designated by the a governmental agency or foreign governments as subject to economic sanctions (collectively “Anti-Social Forces”), or a juridical person which has Anti-Social Forces involved in the management thereof.
    • (5) If the Customer has already created an Account.
  • 2-2 If any information provided by the Customer to the Company in connection with the use of the Service is changed, the Customer shall carry out the change procedure without delay in the manner prescribed by the Company.
  • 2-3 The Customer shall not use another Customer’s Account to use the Service and shall not allow any third party to use such Customer’s Account.
  • 2-4 The Customer shall properly manage the information related to such Customer’s own Account, including the ID and password. The Customer shall be responsible for all acts and results of using the Service with such Customer’s own Account.
  • 2-5 The Customer may withdraw from the Service (delete such Customer’s Account) at any time through the procedures prescribed by the Company. Upon withdrawal, the Customer shall lose all rights under these Terms; however, these Terms shall continue to apply even after such withdrawal to the matters related to the use of the Service by the Customer prior to the withdrawal.
3. Privacy
The Customer’s information acquired by the Company in connection with the Service shall be treated in accordance with the Company’sPrivacy Policy.
4. Prohibited Matters
  • 4-1 In using the Service, the Customer shall not attempt or conduct any of the following acts and shall not cooperate with or promote any of such acts by any third party.
    • (1) Infringing the rights or legally protected interests (including all intellectual property rights, trade secrets, honors, privacy rights, portrait rights, publicity rights and proprietary rights) of the Company or third parties;
    • (2) Violating laws, regulations, court decisions or other legally binding dispositions by a public authority, or offending public order and morals;
    • (3) Insulting, defaming, slandering the Company or any third party, or in the public domain of the Service, or uploading or transmitting by other means any expression or other information that includes offensive or antisocial content (including expressions that are excessively violent, explicitly sexual or may lead to discrimination);
    • (4) Bullying, harassment or any other act of obstructing the smooth use of the Service by other Customers (including sending false information or spam or interfering with the communications of other Customers);
    • (5) Illegal collection or use, or disclosure or provision to a third party, of personal information, other privacy related information, or confidential information such as passwords, of others;
    • (6) Using the Service to conduct acts for profit (except where approved in advance in writing by the Company), to meet or socialize with strangers of the opposite sex, or to conduct acts for other purposes different from the intended purpose of the Service;
    • (7) Downloading, distributing, making available for public transmission, modifying, operating, reverse engineering, decompiling, disassembling, erasing, etc. of all or any part of the Service beyond the scope expressly authorized by the Company (including the case of disabling or avoiding functions such as content protection and access control, or intentionally misusing defects in the Service);
    • (8) Incorporating or executing viruses or other programs or files that interfere with the proper operation of, obstruct/control the operations of, or browse/acquire or damage the data from, information terminals, network devices, systems, etc. managed by the Company or third parties, into or in such information terminals, etc.;
    • (9) Impeding the normal and smooth operation of the Service by, for example, imposing an excessive burden on the server of the Service or by making an excessive request beyond the scope of the legitimate exercise of the rights under these Terms;
    • (10) Any other violation of these Terms; or
    • (11) Other comparable matters deemed inappropriate by the Company.
  • 4-2 If the Company determines that the Customer is in breach of these Terms, the Company may suspend or delete such Customer’s Account or take any other action and shall have no responsibility whatsoever for such action.
  • 4-3 Unless required otherwise by law, the Company has no obligation to monitor the Customer’s online activities on the Service; provided, however, that, to the extent permitted by laws and regulations and for legitimate purposes such as ensuring compliance with the laws and these Terms, the Company may record online activities on the Service and browse and disclose the same.
5. Intellectual Property Rights
  • 5-1 Intellectual property rights and other rights relating to the Service are owned or controlled by the Company or the original right holder who licensed the Company (the “Original Rights Holder”). These Terms do not grant to the Customer any rights or license to reproduce or otherwise use any intellectual property rights of the Company or third parties.
  • 5-2 The Service may include software for which the Original Rights Holder has set different terms of use from these Terms. If the Company notifies such terms of use within the Service, the Customer shall use the Service in accordance with such terms of use as well.
  • 5-3 The Customer hereby grants the Company the non-exclusive right (with the right to sublicense the same) to use any image, sound, text or other information posted or transmitted by the Customer in connection with the Service (the “Posted Content”) (such use includes reproduction, distribution, public transmission, partial omission and other adaptations), in the entire Service area, without charge, by the Company or any party designated by the Company, to the extent permitted by applicable laws. It is the Customer’s responsibility to confirm that the Posted Content does not infringe upon the rights of third parties and otherwise conforms to the contents of these Terms.
  • 5-4 The Company may take any action, including deletion from the Service, regarding any Posted Content that the Company deems to be in violation of these Terms or to be inappropriate, without any notice to the Customer. The Company shall not be liable to the Customer for such action.
6. Change, Suspension, Termination of the Service
  • 6-1 The Company may modify or terminate the Service, in whole or in part. In connection with such modifications, it may be necessary for the Customer to update the Service, including the software therefor, as a condition to continue using the Service.
  • 6-2 The Company may suspend the provision of the Service in whole or in part for the necessary period of time if any of the following applies:
    • (1) When there is an interruption in the provision of third-party services (including, without limitation, telecommunications services and cloud services) that are necessary to provide the Service;
    • (2) When it is necessary to suspend the Service in order to perform maintenance and/or inspection of the system necessary for provision of the Service or to deal with its failure, defect, etc.;
    • (3) If the Service cannot be provided due to a power outage, natural disaster, labor dispute or other force majeure event; or
    • (4) When the Company deems it unavoidable.
  • 6-3 Except in the case of emergency, the Company will notify the Customer prior to any change, suspension or termination of all or any part of the Service if such change, suspension or termination would have a significant impact on the Customer.
  • 6-4 The Company shall not be liable for any damages or other consequences incurred by the Customer in connection with any change, suspension or termination of the Service, except where such damages or consequences are attributable to the Company.
7. Disclaimer
  • 7-1 Except to the extent prohibited by applicable laws, the Company makes no representation or warranty, either express or implied, with respect to the accuracy, safety and any other matters of the contents of third-party websites and services that may be accessed via a link from the Service, including advertisements on the Service. The Company shall not be liable for any damages or other consequences arising from the Customer’s use of such websites or services.
  • 7-2 If any dispute arises between the Customer and a third party due to infringement of rights or for any other reason in connection with the Customer’s use of the Service, the Customer shall resolve such dispute at his/her own expense and responsibility, and the Company shall not be held liable in any way.
  • 7-3 Except to the extent prohibited by applicable laws, the Company makes no representations and warranties, either express or implied, with respect to the quality or any other aspects of the Service (including defects such as bugs, security defects and infringement of the rights of third parties).
  • 7-4 Notwithstanding any other provision of these Terms, and to the extent permitted by applicable laws, in the event of any damages suffered by the Customer due to the Company’s default or tort, the Company shall be liable for such damages only to the extent of the damage normally incurred by the Customer and up to the total amount of usage fees the Company received from the Customer in the preceding three (3)- month period, and shall not be liable for any consequential damages, indirect damages or other damages arising from special circumstances (including cases that are foreseen or foreseeable). However, the Company will not be exempted from liability for damages of the Customer due to the Company’s default or tort resulting from its willful misconduct or gross negligence.
  • 7-5 The Service is provided by the Company to the Customer under the contract between the Company and the Customer based on these Terms, and the Original Rights Holder shall not be held liable in any way to the Customer regarding the Service, unless otherwise provided by law.
8. Assignment
  • 8-1 The Customer may not assign, cause to be succeeded, or provide for the purpose of collateral to a third party, all or part of the status or rights and obligations under these Terms.
  • 8-2 The Customer agrees that the Company may transfer or cause the succession of the status or rights and obligations under these Terms and any information about the Customers to a third party in connection with the transfer or succession of the business relating to the Services to such third party.
9. Changes to These Terms
The Company may change these Terms at any time to the extent permitted by law. The Company will notify Customers of the revised Terms through the website of the Service with a prior notice period that the Company deems reasonable considering the changes, etc.; provided, however, that such prior notice period may not be set if the changes are in accordance with the general interest of the Customers. Acceptance of the updated Terms by the Customer will be required.
10. Contact for Inquiries
If the Customer has any questions about these Terms, he/she should contact the Company by using the contact form on the website of the Service. The Company may confirm the identity of the Customer by the method prescribed by the Company. Unless otherwise required by law, the Company may use any method deemed appropriate by the Company to respond to or otherwise cope with Customer inquiries. The Customer may make a complaint regarding the Service directly with the Company by using the contact form on the website of the Service, or before the Federal Consumer Protection Agency by filing a writ before the Consumer Protection Office closest to the Customer’s domicile.
11. Governing Law, Jurisdiction, Class or Representative Action Waiver, and Jury Waiver
  • 11-1 These Terms (including any relevant non-contractual obligations) shall be governed by and construed in accordance with the laws of Japan. All controversies and disputes arising out of or relating to the Service (including any relevant non-contractual obligations) shall be submitted to the Tokyo District Court in Tokyo, Japan as the court of exclusive jurisdiction in the first instance.
  • 11-2 By agreeing to these Terms, Customer agrees that Customer is required to resolve any claim that Customer may have against the Company related to the Service or these Terms on an individual basis. Customer agrees to waive any right Customer may otherwise have to bring any class, collective or representative action, and is precluded from participating in or recovering relief under any current or future class, collective, consolidated or representative action against the Company by someone else. The Company and Customer also agree to waive any right to a trial by jury.
12. Miscellaneous
  • 12-1 Any information, notice or communication from the Company to Customers regarding the Service shall be made by posting on the website of the Service or any other method as the Company deems appropriate. If the Customer provides an email address, Customer shall be deemed to have consented to receiving information, notices and communications at that email address, and such electronic delivery will satisfy any legal communication requirements, including that such communications be in writing. The Company shall not be liable for any damages or other consequences of non-delivery or delay of such information, notice or communication, except where such damages or consequences are attributable to the Company.
  • 12-2 If any portion of these Terms is deemed invalid, void or for any reason unenforceable, such portion shall be deemed severable and shall not affect the validity and enforceability of any remaining portion.
  • 12-3 In addition to the English version, these Terms may be translated into the language of the Service area. If there is any inconsistency in the meaning or wording between the English version and the translated version, the English version shall prevail.
  • 12-4 The Customer agrees that the Original Rights Holder and Sony Music Solutions Inc., which provides operation services for the Service on behalf of the Company, shall be treated as the third-party beneficiary of these Terms and may directly exercise the relevant rights or invoke the waiver of liability under these Terms, including but not limited to Articles 5, 7, 11 and 12.

  • 4. 本條款若有變更、新增、修正、刪除等(下稱「變更等」)必要時,本公司將有可能於不違反進行變更等前之本條款目的範圍內,進行合理且相當的本條款之變更等。

第2條(定義)
本條款中下列用語之意義分別定義如下:

  • 3. 「本內容」指本公司透過本網站以串流播送方式提供之影片等內容。
  • 4. 「本服務」指使用者使用與本服務相容之裝置,付費視聽本公司所提供之本內容之服務。
  • 5. 「使用者」指使用本服務之個人。
第3條(費用)
  • 1. 使用者使用本服務購入個別之本內容時,應支付本網站上公布之所定費用(下稱「本服務費用」)。此外,本內容之可使用期間,將公告於本網站。
  • 2. 使用者對於自己所使用之本服務,應隨時確認最新的本服務費用金額、其他支付條件以及可使用期間等之資訊。
第4條(申請使用本服務)
  • 1. 使用者於使用本服務時,應以電子郵件地址作為使用者之ID(下稱「ID」)註冊於本網站。使用者得於該ID註冊所購入本內容之可使用期間內,有效使用該ID。
  • 2. 本服務之使用者於使用本服務之國家或地域中屬於未成年人者,該未成年人之親權人等之代理人,應就本服務之使用,遵守該國或地域之法令,事前代理未成年人同意本條款,並授權前項之ID註冊及透過本服務購入票券之權限。未成年人使用者應同意本公司進行確認親權人等之聯絡方式或同意之程序。
  • 3. 使用本服務時,使用者應同意本條款,並遵循本公司所定之程序,自行申請購入。此時所輸入之個人資料若有錯誤,將無法使用本服務。
  • 4. 已購入之本服務均無法取消或退還本服務費用。此外,即使因使用者輸入錯誤或通訊環境異常等所致重複申請使用而申請購入多項本服務時,除因本公司故意或重大過失所致之情形外,本公司不負任何責任。
第5條(權利歸屬)
  • 1. 包含本內容在內之本服務中全部資訊之著作權(包含著作權法第27條及第28條之權利),均歸屬於本公司或本內容之提供者。
  • 2. 禁止使用者逾越個人使用等法律容許之範圍而利用本內容及本網站上之資訊(包括但不限於重製、竄改、散布等)。
第6條(建議使用環境)
關於本服務建議使用環境,由本公司另行規定公告於本網站。
第7條(設備等之準備)
使用者應自行承擔責任及費用準備得使用本服務之環境,包含通信裝置及軟體等之準備、電話使用契約及網際網路連線接取契約之締結等。此外,本服務有關之一切通信費、連線服務費等,均由使用者負擔。
第8條(禁止行為)
  • 1. 使用者僅得以本公司規定之方法利用本服務及視聽本內容,本公司禁止下列行為:
    • (1) 侵害本服務之內容、資訊等本服務所包含之著作權、商標權等智慧財產權、肖像權、隱私權或其他權利之行為,以及其他有侵害之虞之行為
    • (2) 以本服務所獲致之資訊進行商業利用行為
    • (3) 提供、讓與、販賣使用者之電子郵件地址或ID予第三人等之行為
    • (4) 透過本服務或與本服務相關之方式,使用或提供電腦病毒等有害程式之行為
    • (5) 違反法令或有違反之虞之行為
    • (6) 違反本條款之行為
    • (7) 其他經本公司判斷為不適當之行為
  • 2. 使用者若為該當前項之行為,本公司得不經事前告知,停止該使用者對本服務之使用。於此情形,使用者應立即支付截至停止使用為止之本服務費用。此外,因本項而喪失使用資格之使用者,喪失存取使用本服務之權利之同時,亦不得行使損害賠償請求等一切之權利。
第9條(服務之暫時停止)
  • 1. 本公司於該當下列各項之情形時,可能暫時停止本服務之全部或一部之提供:
    • (1) 本公司為提供本服務所使用之設備發生故障,或進行相關設備之保養檢查或修理等
    • (2) 因火災、停電、天災等不可抗力事故,無法提供本服務
    • (3) 其他於本公司認難以提供本服務之情形
  • 2. 本公司依前項規定暫時停止本服務提供時,將以本公司判斷為適當之方法事前通知使用者。惟於緊急之情形,則不在此限。
第10條(服務之變更及終止)
本公司得不經事前預告或通知使用者,變更本服務(包含本內容)之內容及名稱等、或停止本內容之播送。
第11條(責任)
  • 1. 使用者透過使用本服務造成第三人(包含其他使用者)受有損害或損失時,本公司及本內容之提供者概不負責,使用者應自行承擔責任及費用,處理解決相關第三人所受之損害或損失及與其相關之全部問題,不得使本公司等產生任何負擔。
  • 2. 使用者若透過違反本條款之行為或不適當或違法行為,造成本公司或本內容之提供者受有損害,本公司及本內容之提供者得對該使用者請求損害賠償。
  • 3. 本公司得不經使用者同意,暫時停止、終止或廢止本服務之部分或全部。對於因本服務提供之遲延、暫時停止、終止或廢止等之情形所致使用者之損害,除該損害為本公司故意或重大過失所致外,本公司於所適用法律容許之範圍內不負任何責任。
  • 4. 對於因使用本服務所致使用者之損害,不論該使用方式,除該損害為本公司故意或重大過失所致外,本公司於所適用法律容許之範圍內不負任何責任。
第12條(註冊資訊之管理)
  • 1. 使用者不得將自己的電子郵件地址及ID交由第三人使用,或讓與、販賣予第三人等。
  • 2. 使用者應自行承擔責任管理自己的電子郵件地址及ID,因該資訊管理之不足、使用上之過失、第三人之使用等所致損害之責任,由使用者負責,本公司不負任何責任。
第13條(個人資料等之處理)
有關本服務本公司所取得之客戶資訊,依隱私政策處理。[隱私政策]
第14條(權利義務讓與等之禁止)
使用者對基於本條款之權利義務之全部或一部,不得為讓與、借貸或出質等擔保設定及其他一切處分。
第15條(準據法及合意管轄)
本條款以日本法為準據法。本條款或本服務相關之一切訴訟,均以東京地方裁判所作為第一審之專屬合意管轄法院。
第16條(協議事項)
本公司及使用者,對於本條款未規定之事項或本條款之各條項之解釋產生疑義時,應秉持誠意加以協議,並處理解決之。
第17條(語言)
本條款除英語版以外,可能翻譯為本服務提供地區之語言,惟若英語版與翻譯版之意思或文句有不一致之情形,以英語版為優先。

Terms of Use of Paid Video Streaming Service

Article 1 (Scope of and Changes to these Terms)
1. These Terms of Use of Paid Video Streaming Service (these “Terms”) shall apply to the user (the “User”) of the Service (as defined below) in the Service area in relation to the use of the viewing service (the “Service”) of videos and other contents (the “Contents”) provided by the Company (as defined below) on the paid video streaming site “Johnny’s net online” (the “Site”) operated and managed by Johnny & Associates, Inc. (the “Company”).
2. At the time that the User starts using the Service, it shall be deemed that the User has agreed to the subject matter of these Terms, and further agreed that these Terms constitute the subject matter of a contract between the Company and the User. The User understands that the User will have agreed to the contents of these Terms by checking the box stating that the User consents to the latest Terms of Service.
3. The User is obligated to comply with these Terms in good faith.
4. If any change, addition, amendment, deletion or the like (collectively, the “Change”) becomes required in these Terms, the Company may Change these Terms in a reasonable and adequate manner to the extent that such Change will not be in conflict with the purpose of these Terms before such Change.
5. When the Company is to Change these Terms, the Company will notify the User of the subject matter of the Change and the timing that these Terms after the Change will come into effect by posting the same on the Site a reasonable period before the Change.
6. Once the Company properly provides the notification of the preceding paragraph to the User, these Terms after the Change shall apply to the User irrespective of whether the User is aware or unaware of the Change.
7. The Service is not intended to be provided to children under the age of 13 years, and children under the age of 13 years may not use the Service.

Article 2 (Definitions)
Each of the following terms used in these Terms shall be defined as follows.
1. “Company” means Johnny & Associates, Inc.
2. “Site” means the website “Johnny’s net online” operated and managed by the Company.
3. “Contents” means videos and other contents provided by the Company on the Site via streaming distribution.
4. “Service” means the service provided by the Company for the User to view the Contents, for a fee, using a terminal that is compatible with the Service.
5. “User” means the individual to use the Service.

Article 3 (Service Fee)
1. When using the Service and purchasing individual Contents, the User shall pay the prescribed fee (the “Service Fee”) posted on the Site. The viewing period of the Contents shall be posted on the Site.
2. The User shall confirm, as needed, information such as the amount and other terms of payment of the latest Service Fee, and the viewing period of the Contents, of the Service that the User is using.

Article 4 (Application for Using Service)
1. When using the Service, the User shall register one’s email address on the Site as the User’s ID (the “ID”). The User may use one’s ID validly during the viewing period of the Contents purchased by the User based on the foregoing registration.
2. If the User of the Service is a minor in the country, state or region in which the Service is used, the parent or guardian of such minor shall provide prior consent to these Terms on behalf of the minor, in accordance with the laws of such country, state or region, in using the Service, and authorize the registration of the ID in the preceding clause and the purchase of tickets through the Service. The User who is a minor consents to the Company taking procedures to confirm the contact information and consent by the parent or guardian.
3. When using the Service, the User shall agree to these Terms, and personally apply for the purchase of Contents according to the Company’s prescribed procedures. If there is any error in the personal information when purchasing the Contents, the User may not use the Service.
4. The Contents purchased in the Service may not be cancelled and the Service Fee, once paid, will not be refunded. Even if the application for purchase is made redundantly and the same Contents are purchased multiple times in the Service due to the User’s input error or problems with the User’s communication environment, the Company will not be liable in any way unless it was caused by the Company’s willful misconduct or gross negligence.

Article 5 (Ownership of Rights)
1. Copyrights (including the rights in Article 27 and Article 28 of the Copyright Law of Japan) of all information, including the Contents, in the Service shall belong to the Company or the provider of the Contents.
2. The User may not use (including, but not limited to, acts of replication, falsification and distribution) the Contents and information on the Site beyond the scope permitted under laws, such as for private use.

Article 6 (Recommended System Requirements)
The recommended system requirements of the Service will be separately prescribed by the Company and posted on the Site.

Article 7 (Preparation of Equipment, etc.)
The User shall prepare, under one’s own responsibility and cost burden, an environment which enables the use of the Service including the preparation of communication equipment and software, and the conclusion of a phone service contract and an internet service contract. Any and all communication fees and interconnection fees related to the Service shall be borne by the User.

Article 8 (Prohibited Acts)
1. The User may use the Service and view the Contents only according to the Company’s prescribed method, and the following acts are prohibited by the Company:
(1) act of infringing upon, or act which may infringe upon, the copyrights, trademark rights and other intellectual property rights, portrait rights, privacy or other rights in the Service, including the contents and information of the Service;
(2) act of commercially using information obtained from the Service;
(3) act of providing, assigning or selling the User’s email address or ID to a third party;
(4) act of using or providing, through or in relation to the Service, a computer virus or any other harmful program;
(5) act of violating, or act which may violate, laws;
(6) act of breaching these Terms; and
(7) any other act deemed inappropriate by the Company.
2. If the User conducts any act corresponding to the preceding paragraph, the Company may suspend the use of the Service by the User without requiring any prior notice. In the foregoing case, the User shall immediately pay the Service Fee up to the time that the Company suspended the User’s use of the Service. The User that forfeited one’s entitlement to use the Service pursuant to this paragraph will lose the rights to access and use the Service and may not exercise any rights such as the right to claim for damages.

Article 9 (Suspension of Service)
1. When corresponding to any of the following items, the Company may suspend the provision of all or a part of the Service:
(1) a failure occurs in the equipment used by the Company for providing the Service, or such equipment is to undergo maintenance and inspection or improvement and repair;
(2) the Service cannot be provided due to a fire, blackout, calamity or any other force majeure event; or
(3) the Company otherwise deems that the provision of the Service is difficult.
2. When the Company is to suspend the provision of the Service pursuant to the provisions of the preceding paragraph, the Company shall notify the User in advance according to a method deemed appropriate by the Company; save for cases of emergency.

Article 10 (Change / Discontinuation of Service)
The Company may change the content, name and other details of the Service (including the Contents), and suspend the distribution of the Contents, without requiring any prior announcement or notice to the User.

Article 11 (Liability)
1. If the User causes damage to or inflicts loss on a third party, including other Users, as a result of using the Service, the Company and the provider of the Contents shall not be liable in any way therefor, and the User shall, under one’s own responsibility and cost burden, resolve such damage suffered or loss incurred by the third party as well as all problems related thereto, and shall not impose any burden on the Company and the provider of the Contents.
2. If the User causes damage to the Company or the provider of the Contents as a result of breaching these Terms or engaging in a fraudulent or illegal act, the Company and the provider of the Contents may seek damages against the User.
3. The Company may suspend, discontinue or abolish all or a part of the Service without having to obtain the User’s approval. Even if the provision of the Service is delayed, suspended, discontinued or abolished, to the extent permitted by the applicable laws, the Company shall not be liable for any damage that was consequently suffered by the User unless such damage was caused by the Company’s willful misconduct or gross negligence.
4. To the extent permitted by the applicable laws, the Company shall not be liable for any damage that is suffered by the User as a result of using the Service, irrespective of the mode of use, unless such damage was caused by the Company’s willful misconduct or gross negligence.

Article 12 (Management of Registered Information)
1. The User must not allow a third party to use one’s email address or ID, or assign or sell the same to a third party.
2. The User shall manage one’s email address and ID under one’s own responsibility, and the User shall be liable for any damage caused by the inadequate management or erroneous use of the foregoing information, or the use of the foregoing information by a third party, and the Company shall not be liable in any way therefor.

Article 13 (Handling of Personal Information, etc.)
The User’s information acquired by the Company in connection with the Service shall be handled in accordance with the Privacy Policy. [Privacy Policy]

Article 14 (No Transfer, etc. of Rights and Obligations)
No User may transfer, lease, create a pledge or any other security on, or otherwise in any way dispose all or a part of one’s rights and obligations under these Terms.

Article 15 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan. Any and all legal action related to these Terms or the Service shall be submitted to the Tokyo District Court as the court of exclusive jurisdiction for the first instance.

Article 16 (Consultation)
If any doubts arise regarding matters that are not prescribed herein or in the interpretation of the respective provisions hereof, the Company and the User shall consult in good faith and resolve such doubts.

Article 17 (Language)
In addition to the English version, these Terms may be translated into the language of the Service area. If there is any inconsistency in the meaning or wording between the English version and the translated version, the English version shall prevail.


Supplementary Provision
These Terms were formulated and enforced on July 10, 2020.

ข้อ 1 (ขอบเขตและการเปลี่ยนแปลงข้อตกลง)
  • 1. ข้อตกลงการใช้บริการวิดีโอ สตรีมมิง (Video Streaming) แบบมีค่าบริการฉบับนี้ (“ข้อตกลงฉบับนี้”) บังคับใช้กับผู้ใช้ (“ผู้ใช้งาน”) บริการ (ตามที่ระบุไว้ด้านล่าง) ภายในพื้นที่ที่ให้บริการเพื่อรับชมบริการ (“บริการ”) วิดีโอหรือเนื้อหา อื่นๆ (“คอนเทนต์”) ซึ่งจัดทำโดยบริษัทฯ (ตามที่ระบุไว้ด้านล่าง) ผ่านทางเว็บไซต์วิดีโอ สตรีมมิงแบบมีค่าบริการ“Johnny’s net online” (“เว็บไซต์”) ดำเนินการและควบคุมโดย Johnny & Associates, Inc. (“บริษัทฯ”)
  • 2. ณ ขณะที่ผู้ใช้งานเริ่มใช้บริการให้ถือเสมือนว่าผู้ใช้งานยอมรับสาระสำคัญของข้อตกลงฉบับนี้ อีกทั้งยังยอมรับว่าข้อตกลงฉบับนี้ถือเป็นสาระสำคัญของสัญญาระหว่างบริษัทฯ กับผู้ใช้งาน ทั้งนี้ ผู้ใช้งานรับทราบว่าต้องยอมรับข้อตกลงฉบับนี้โดยทำเครื่องหมายที่กล่องข้อความแสดงความยินยอมของผู้ใช้งานต่อข้อตกลงการใช้บริการฉบับล่าสุด
  • 3. ผู้ใช้งานจะต้องปฏิบัติตามข้อตกลงฉบับนี้โดยสุจริต
  • 4. ในกรณีที่ข้อตกลงฉบับนี้จำเป็นต้องมีการเปลี่ยนแปลง เพิ่มเติม แก้ไข ลบออก หรือกระทำการอื่นใดในทำนองเดียวกัน (รวมเรียกว่า “การเปลี่ยนแปลง”) บริษัทฯ จะดำเนินการเปลี่ยนแปลงข้อตกลงฉบับนี้อย่างเหมาะสมและมีเหตุผลรองรับโดยไม่ให้ขัดหรือแย้งกับวัตถุประสงค์เดิมของข้อตกลงก่อนที่จะมีการเปลี่ยนแปลง
  • 5. เมื่อบริษัทฯ ทำการเปลี่ยนแปลงข้อตกลงฉบับนี้ บริษัทฯ จะแจ้งให้ผู้ใช้งานทราบถึงสาระสำคัญที่มีการเปลี่ยนแปลงและระยะเวลาที่ข้อตกลงฉบับปรับปรุงจะมีผลบังคับใช้ โดยจะแจ้งให้ทราบผ่านทางหน้าเว็บไซต์ในเวลาที่เหมาะสมก่อนจะมีการเปลี่ยนแปลงข้อตกลง
  • 6. ทันทีที่บริษัทฯ แจ้งให้ผู้ใช้งานรับทราบการเปลี่ยนแปลงที่กล่าวถึงในย่อหน้าก่อนหน้านี้แล้ว ข้อตกลงที่ได้รับการเปลี่ยนแปลงจะมีผลบังคับใช้ทันทีไม่ว่าผู้ใช้งานจะรับทราบหรือไม่ถึงการเปลี่ยนแปลงดังกล่าว
  • 7. บริการนี้ไม่ได้มีไว้สำหรับเด็กที่มีอายุต่ำกว่า 13 ปี ดังนั้น ผู้ที่มีอายุต่ำกว่า 13 ปีอาจไม่สามารถใช้บริการได้
ข้อ 2 (คำจำกัดความ)
คำที่ใช้ในข้อตกลงฉบับนี้มีความหมายดังต่อไปนี้
  • 1. “บริษัทฯ” หมายถึง Johnny & Associates, Inc.
  • 2. “เว็บไซต์” หมายถึง เว็บไซต์ “Johnny’s net online” ที่ดำเนินการและควบคุมโดยบริษัทฯ
  • 3. “คอนเทนต์” หมายถึง วิดีโอหรือเนื้อหาอื่นใดที่นำเสนอบนเว็บไซต์โดยบริษัทฯ ผ่านทางการเผยแพร่แบบสตรีมมิง
  • 4. “บริการ” หมายถึง บริการที่ทางบริษัทฯ จัดทำขึ้นเพื่อให้ผู้ใช้งานได้รับชมคอนเทนต์โดยต้องจ่ายค่าบริการและใช้อุปกรณ์รับชมที่สามารถใช้งานกับบริการได
  • 5. “ผู้ใช้งาน” หมายถึง บุคคลผู้ใช้บริการ
ข้อ 3 (ค่าบริการ)
  • 1. เมื่อใช้บริการและซื้อคอนเทนต์แต่ละรายการเพื่อรับชม ผู้ใช้งานต้องชำระค่าบริการ (“ค่าบริการ”) ในราคาที่กำหนด ตามที่แจ้งไว้บนเว็บไซต์ โดยสามารถรับชมคอนเทนต์ได้ภายในระยะเวลาตามที่แจ้งไว้บนเว็บไซต์
  • 2. ผู้ใช้งานสามารถตรวจสอบข้อมูลต่างๆ เช่น ราคาค่าบริการ เงื่อนไขอื่นๆ ในการชำระค่าบริการล่าสุด และระยะเวลาการรับชมคอนเทนต์ ของบริการที่ผู้ใช้งานกำลังใช้บริการอยู่ได้ตลอดเวลาตามที่ต้องการ
ข้อ 4 (การสมัครเพื่อใช้บริการ)
  • 1. ผู้ใช้งานต้องลงทะเบียนอีเมลของตนที่เว็บไซต์เพื่อสร้างไอดีผู้ใช้งาน (“ID”) สำหรับเข้าใช้บริการ เมื่อลงทะเบียนแล้ว ผู้ใช้งานจะสามารถใช้ ID ของตนเพื่อรับชมเนื้อหาที่ซื้อไว้ได้ตามระยะเวลาที่กำหนด
  • 2. ในกรณีที่ผู้ใช้งานมีสถานะเป็นผู้เยาว์ตามที่กำหนดไว้ในประเทศ รัฐหรือภูมิภาคที่เข้าใช้บริการ บิดามารดาหรือผู้ปกครองของผู้เยาว์ต้องเป็นผู้ให้ความยินยอมแก่ข้อตกลงฉบับนี้ในนามของผู้เยาว์ตามกฎหมายของประเทศ รัฐหรือภูมิภาคเพื่อเข้าใช้บริการ และอนุญาตให้ลงทะเบียน ID ตามที่ได้กล่าวไว้ในย่อหน้าก่อน ตลอดจนการซื้อบัตรชมการแสดงผ่านทางบริการ ทั้งนี้ ผู้ใช้บริการที่เป็นผู้เยาว์นั้นต้องยินยอมให้บริษัทฯ ดำเนินการตามขั้นตอนเพื่อยืนยันข้อมูลการติดต่อและการได้รับความยินยอมจากบิดามารดาหรือผู้ปกครองในการใช้บริการ
  • 3. ในขณะที่ใช้บริการ ผู้ใช้งานต้องยอมรับข้อตกลงฉบับนี้และซื้อคอนเทนต์ที่จะรับชมด้วยตนเองตามขั้นตอนที่บริษัทฯ กำหนด หากมีข้อผิดพลาดประการใดกับข้อมูลส่วนบุคคลในขณะทำการซื้อคอนเทนต์ ผู้ใช้งานจะไม่สามารถใช้บริการได้
  • 4. คอนเทนต์ที่ได้ชำระค่าบริการเรียบร้อยแล้วจะไม่สามารถยกเลิกได้ และไม่สามารถขอคืนค่าบริการที่ชำระไปแล้วได้เช่นกัน ในกรณีที่คำสั่งซื้อซ้ำซ้อนกันและเป็นการซื้อคอนเทนต์รายการเดียวกันซ้ำหลายๆ ครั้งเนื่องจากการกรอกข้อมูลผิดพลาดของผู้ใช้งานหรือปัญหาสภาพแวดล้อมทางการสื่อสารที่เกิดจากผู้ใช้งาน บริษัทฯ จะไม่รับผิดชอบใดๆ ทั้งสิ้น เว้นแต่ปัญหาดังกล่างนั้นเกิดจากการกระทำที่มิชอบโดยเจตนาหรือการประมาทเลินเล่ออย่างร้ายแรงของทางบริษัทฯ
ข้อ 5 (สิทธิในการเป็นเจ้าของผลงาน)
  • 1. ข้อมูลทั้งหมดและคอนเทนต์ในบริการถือเป็นลิขสิทธิ์ (รวมถึงสิทธิตามมาตรา 27 และมาตรา 28 ในกฎหมายลิขสิทธิ์ของประเทศญี่ปุ่น) ของบริษัทฯ หรือผู้จัดทำคอนเทนต์นั้น
  • 2. ผู้ใช้งานไม่สามารถใช้ (รวมถึงแต่ไม่จำกัดเพียงการทำซ้ำ ปลอมแปลง และแจกจ่าย) คอนเทนต์และข้อมูลบนเว็บไซต์นอกเหนือจากขอบเขตที่กฎหมายกำหนด เช่น การใช้งานส่วนบุคคล เป็นต้น
ข้อ 6 (ระบบการใช้งานที่แนะนำ)

ข้อ 7 (การเตรียมอุปกรณ์ และอื่นๆ)
ผู้ใช้งานจะต้องจัดเตรียมสภาพแวดล้อมที่เอื้อต่อการใช้บริการ รวมถึงจัดเตรียมอุปกรณ์สื่อสารและซอฟต์แวร์ ตลอดจนการทำสัญญาเพื่อใช้บริการโทรศัพท์และ
อินเทอร์เน็ตด้วยค่าใช้จ่ายของตนเอง ทั้งนี้ ค่าบริการทางการติดต่อสื่อสารและการเชื่อมต่อ ผู้ใช้งานจะเป็นผู้รับผิดชอบเองทั้งหมด
ข้อ 8 (การกระทำที่ไม่สามารถกระทำได้)
  • 1. ผู้ใช้งานสามารถใช้บริการและรับชมคอนเทนต์ได้ตามวิธีการที่บริษัทฯ กำหนดเท่านั้น โดยผู้ใช้งานห้ามกระทำการใดๆ ดังต่อไปนี้
    • (1) ละเมิด หรือการกระทำใดๆ ที่อาจละเมิดลิขสิทธิ์ในเครื่องหมายการค้าและสิทธิในทรัพย์สินทางปัญญาอื่นๆ สิทธิในภาพของบุคคล สิทธิในความเป็นส่วนตัว หรือสิทธิอื่นๆ ภายในบริการ ตลอดจนคอนเทนต์และข้อมูลของบริการ
    • (2) นำข้อมูลที่ได้รับจากบริการไปใช้ในเชิงพาณิชย์
    • (3) จัดหา มอบให้หรือขายอีเมลหรือ ID แก่บุคคลอื่น
    • (4) ใช้หรือจัดหาโปรแกรมที่มีความอันตราย เช่น ไวรัสคอมพิวเตอร์โดยผ่านหรือเกี่ยวข้องกับบริการ
    • (5) การกระทำใดที่เป็นการละเมิดหรืออาจละเมิดต่อกฎหมาย
    • (6) ไม่ปฏิบัติตามข้อตกลงฉบับนี้
    • (7) กระทำการอื่นใดที่บริษัทฯ เห็นว่าไม่เหมาะสม
  • 2. ในกรณีที่ผู้ใช้งานกระทำการใดๆ ตามที่ได้ระบุไว้ในย่อหน้าก่อน บริษัทฯ อาจดำเนินการระงับการใช้บริการของผู้ใช้งานโดยไม่แจ้งให้ทราบก่อนล่วงหน้า เมื่อถูกระงับการใช้บริการ ผู้ใช้งานต้องชำระค่าบริการจนถึงระยะเวลาที่ถูกระงับทันที ผู้ใช้งานที่ถูกยกเลิกการใช้บริการตามย่อหน้านี้ จะเสียสิทธิในการเข้าถึงและการใช้บริการ อีกทั้งยังไม่อาจใช้สิทธิใดๆ เช่น สิทธิในการเรียกร้องค่าเสียหายได้ด้วย
ข้อ 9 (การระงับการให้บริการชั่วคราว)
  • 1. บริษัทฯ อาจระงับการให้บริการทั้งหมดหรือแต่บางส่วนเป็นการชั่วคราว ในกรณีที่เกิดเหตุการณ์ดังต่อไปนี้
    • (1) อุปกรณ์ที่บริษัทฯ ใช้ในการให้บริการเกิดล้มเหลว หรืออุปกรณ์ดังกล่าวอยู่ในระหว่างการตรวจสอบ บำรุงรักษา หรือปรับปรุงซ่อมแซม
    • (2) ไม่สามารถให้บริการได้ เนื่องจากเกิดเหตุไฟไหม้ ไฟดับ ภัยพิบัติหรือเหตุสุดวิสัยอื่นๆ หรือ
    • (3) บริษัทฯ วินิจฉัยว่า ไม่สามารถให้บริการได้
  • 2. หากบริษัทฯ ระงับการให้บริการเป็นการชั่วคราวตามที่ได้ระบุไว้ในย่อหน้าก่อน บริษัทฯ จะแจ้งให้ผู้ใช้งานทราบล่วงหน้าผ่านทางช่องทางที่บริษัทฯ พิจารณาแล้วว่าเหมาะสม ทั้งนี้ เว้นแต่กรณีที่เกิดเหตุฉุกเฉิน
ข้อ 10 (การปรับเปลี่ยนหรือยกเลิกการให้บริการ)
บริษัทฯ อาจเปลี่ยนแปลงเนื้อหา ชื่อ หรือรายละเอียดต่างๆ ของบริการ (รวมถึงคอนเทนต์) และหยุดการเผยแพร่เนื้อหา โดยไม่ต้องประกาศหรือแจ้งให้ผู้ใช้งานทราบล่วงหน้า
ข้อ 11 (ความรับผิด)
  • 1. ในกรณีที่ผู้ใช้งานก่อให้เกิดความเสียหายหรือสร้างความสูญเสียให้แก่บุคคลอื่น รวมทั้งผู้ใช้งานอื่นอันเนื่องมาจากการใช้บริการ ทางบริษัทฯ และผู้จัดทำคอนเทนต์จะไม่รับผิดชอบในกรณีใดๆ ทั้งสิ้น โดยผู้ใช้งานต้องแก้ไขความเสียหายหรือความสูญเสียที่เกิดขึ้นต่อบุคคลอื่น ตลอดจนปัญหาที่เกี่ยวข้องทั้งหมดภายใต้ความรับผิดชอบและภาระค่าใช้จ่ายของตนเอง และผู้ใช้งานต้องไม่เรียกร้องความรับผิดชอบใดจากบริษัทฯ และผู้จัดทำคอนเทนต์ด้วย
  • 2. ในกรณีที่ผู้ใช้งานก่อให้เกิดความเสียหายต่อบริษัทฯ หรือผู้จัดทำคอนเทนต์ซึ่งเป็นผลมาจากการฝ่าฝืนข้อตกลงฉบับนี้ หรือมีส่วนร่วมในการฉ้อโกงหรือการกระทำที่ผิดกฎหมาย บริษัทฯ และผู้จัดทำคอนเทนต์อาจเรียกร้องให้ผู้ใช้บริการชดใช้ค่าเสียหายได้
  • 3. บริษัทฯ อาจระงับชั่วคราว ยุติ หรือยกเลิกการใช้บริการทั้งหมดหรือแต่บางส่วนโดยไม่ต้องขอความเห็นชอบจากผู้ใช้งาน ทั้งในกรณีที่การให้บริการล่าช้า ถูกระงับชั่วคราว หยุดให้บริการ หรือยกเลิกภายใต้ขอบเขตของกฎหมายที่มีผลใช้บังคับ บริษัทฯ ไม่จำเป็นต้องรับผิดชอบในความเสียหายใดๆ ที่เป็นผลมาจากผู้ใช้งาน เว้นแต่ความเสียหายนั้นเกิดจากการกระทำที่มิชอบโดยเจตนาหรือการประมาทเลินเล่ออย่างร้ายแรงของทางบริษัทฯ
  • 4. ภายใต้ขอบเขตของกฎหมายที่มีผลใช้บังคับ บริษัทฯ จะไม่รับผิดชอบต่อความเสียหายใดๆ ที่เกิดจากการใช้บริการโดยไม่คำนึงถึงรูปแบบการใช้ของผู้ใช้งาน เว้นแต่ความเสียหายนั้นเกิดจากการกระทำที่มิชอบโดยเจตนาหรือการประมาทเลินเล่ออย่างร้ายแรงของทางบริษัทฯ
ข้อ 12 (การจัดการข้อมูลลงทะเบียน ฯลฯ)
  • 1. ผู้ใช้งานต้องไม่ยินยอมให้บุคคลอื่นใช้อีเมล หรือ ID หรือมอบ หรือขายข้อมูลดังกล่าวให้แก่บุคคลอื่น
  • 2. ผู้ใช้งานต้องจัดการและรับผิดชอบอีเมลหรือ ID ของตนเอง รวมถึงต้องรับผิดชอบต่อความเสียหายที่เกิดขึ้นจากการดูแลที่ไม่เพียงพอ หรือการใช้ข้อมูลข้างต้นอย่างไม่ถูกต้อง หรือการใช้ข้อมูลข้างต้นโดยบุคคลอื่น บริษัทฯ จะไม่รับผิดชอบไม่ว่าในกรณีใด
ข้อ 13 (การจัดการข้อมูลส่วนบุคคล)
บริษัทฯ จะดูแลรักษาข้อมูลส่วนบุคคลของผู้ใช้งานที่ได้รับมาจากการบริการตามนโยบายความเป็นส่วนตัว [นโยบายความเป็นส่วนตัว]
ข้อ 14 (ห้ามโอนหรือกระทำการอื่นใดเกี่ยวกับสิทธิและหน้าที่)
ผู้ใช้งานต้องไม่ถ่ายโอน ให้ยืม ให้คำมั่นสัญญาหรือหลักประกันใดๆ หรือละทิ้งสิทธิและหน้าที่ทั้งหมดหรือแต่ส่วนของตนเองซึ่งอยู่ภายใต้ข้อตกลงฉบับนี้
ข้อ 15 (กฎหมายที่ใช้บังคับและเขตอำนาจศาล)
ข้อตกลงฉบับนี้อยู่ภายใต้บังคับแห่งกฎหมายญี่ปุ่น การดำเนินการทางกฎหมายทั้งหมดหรือแต่บางส่วนที่เกี่ยวข้องกับข้อตกลงฉบับนี้ให้ดำเนินคดี ณ ศาลแขวงกรุงโตเกียว ในฐานะศาลชั้นต้นที่มีเขตอำนาจเหนืออรรคคดีทั้งปวงตามที่ได้ตกลงไว้
ข้อ 16 (การปรึกษาหารือ)
ในกรณีที่มีข้อสงสัยประการใดเกิดขึ้นซึ่งไม่ได้ระบุไว้ในที่นี้หรือเกิดปัญญหาในการตีความบทบัญญัติที่เกี่ยวข้อง บริษัทฯ และผู้ใช้งานต้องปรึกษากันด้วยความสุจริตใจและแก้ไขข้อสงสัยดังกล่าว
ข้อ 17 (ภาษา)
นอกจาก ฉบับภาษาอังกฤษ แล้ว ข้อตกลงฉบับนี้ได้แปลเป็นภาษาต่างๆ ตามพื้นที่ที่ให้บริการ ในกรณีที่ความหมายหรือการใช้คำไม่สอดคล้องกันระหว่างฉบับภาษาอังกฤษและฉบับแปล ให้ฉบับภาษาอังกฤษมีผลบังคับใช้
บทบัญญัติเพิ่มเติม
ข้อตกลงฉบับนี้จัดทำขึ้นและมีผลบังคับใช้ตั้งแต่วันที่ 10 กรกฎาคม ค.ศ. 2020 เป็นต้นไป



Terms of Use of Paid Video Streaming Service

Article 1 (Scope of and Changes to these Terms)
1. These Terms of Use of Paid Video Streaming Service (these “Terms”) shall apply to the user (the “User”) of the Service (as defined below) in the Service area in relation to the use of the viewing service (the “Service”) of videos and other contents (the “Contents”) provided by the Company (as defined below) on the paid video streaming site “Johnny’s net online” (the “Site”) operated and managed by Johnny & Associates, Inc. (the “Company”).
2. At the time that the User starts using the Service, it shall be deemed that the User has agreed to the subject matter of these Terms, and further agreed that these Terms constitute the subject matter of a contract between the Company and the User. The User understands that the User will have agreed to the contents of these Terms by checking the box stating that the User consents to the latest Terms of Service.
3. The User is obligated to comply with these Terms in good faith.
4. If any change, addition, amendment, deletion or the like (collectively, the “Change”) becomes required in these Terms, the Company may Change these Terms in a reasonable and adequate manner to the extent that such Change will not be in conflict with the purpose of these Terms before such Change.
5. When the Company is to Change these Terms, the Company will notify the User of the subject matter of the Change and the timing that these Terms after the Change will come into effect by posting the same on the Site a reasonable period before the Change.
6. Once the Company properly provides the notification of the preceding paragraph to the User, these Terms after the Change shall apply to the User irrespective of whether the User is aware or unaware of the Change.
7. The Service is not intended to be provided to children under the age of 13 years, and children under the age of 13 years may not use the Service.

Article 2 (Definitions)
Each of the following terms used in these Terms shall be defined as follows.
1. “Company” means Johnny & Associates, Inc.
2. “Site” means the website “Johnny’s net online” operated and managed by the Company.
3. “Contents” means videos and other contents provided by the Company on the Site via streaming distribution.
4. “Service” means the service provided by the Company for the User to view the Contents, for a fee, using a terminal that is compatible with the Service.
5. “User” means the individual to use the Service.

Article 3 (Service Fee)
1. When using the Service and purchasing individual Contents, the User shall pay the prescribed fee (the “Service Fee”) posted on the Site. The viewing period of the Contents shall be posted on the Site.
2. The User shall confirm, as needed, information such as the amount and other terms of payment of the latest Service Fee, and the viewing period of the Contents, of the Service that the User is using.

Article 4 (Application for Using Service)
1. When using the Service, the User shall register one’s email address on the Site as the User’s ID (the “ID”). The User may use one’s ID validly during the viewing period of the Contents purchased by the User based on the foregoing registration.
2. If the User of the Service is a minor in the country, state or region in which the Service is used, the parent or guardian of such minor shall provide prior consent to these Terms on behalf of the minor, in accordance with the laws of such country, state or region, in using the Service, and authorize the registration of the ID in the preceding clause and the purchase of tickets through the Service. The User who is a minor consents to the Company taking procedures to confirm the contact information and consent by the parent or guardian.
3. When using the Service, the User shall agree to these Terms, and personally apply for the purchase of Contents according to the Company’s prescribed procedures. If there is any error in the personal information when purchasing the Contents, the User may not use the Service.
4. The Contents purchased in the Service may not be cancelled and the Service Fee, once paid, will not be refunded. Even if the application for purchase is made redundantly and the same Contents are purchased multiple times in the Service due to the User’s input error or problems with the User’s communication environment, the Company will not be liable in any way unless it was caused by the Company’s willful misconduct or gross negligence.

Article 5 (Ownership of Rights)
1. Copyrights (including the rights in Article 27 and Article 28 of the Copyright Law of Japan) of all information, including the Contents, in the Service shall belong to the Company or the provider of the Contents.
2. The User may not use (including, but not limited to, acts of replication, falsification and distribution) the Contents and information on the Site beyond the scope permitted under laws, such as for private use.

Article 6 (Recommended System Requirements)
The recommended system requirements of the Service will be separately prescribed by the Company and posted on the Site.

Article 7 (Preparation of Equipment, etc.)
The User shall prepare, under one’s own responsibility and cost burden, an environment which enables the use of the Service including the preparation of communication equipment and software, and the conclusion of a phone service contract and an internet service contract. Any and all communication fees and interconnection fees related to the Service shall be borne by the User.

Article 8 (Prohibited Acts)
1. The User may use the Service and view the Contents only according to the Company’s prescribed method, and the following acts are prohibited by the Company:
(1) act of infringing upon, or act which may infringe upon, the copyrights, trademark rights and other intellectual property rights, portrait rights, privacy or other rights in the Service, including the contents and information of the Service;
(2) act of commercially using information obtained from the Service;
(3) act of providing, assigning or selling the User’s email address or ID to a third party;
(4) act of using or providing, through or in relation to the Service, a computer virus or any other harmful program;
(5) act of violating, or act which may violate, laws;
(6) act of breaching these Terms; and
(7) any other act deemed inappropriate by the Company.
2. If the User conducts any act corresponding to the preceding paragraph, the Company may suspend the use of the Service by the User without requiring any prior notice. In the foregoing case, the User shall immediately pay the Service Fee up to the time that the Company suspended the User’s use of the Service. The User that forfeited one’s entitlement to use the Service pursuant to this paragraph will lose the rights to access and use the Service and may not exercise any rights such as the right to claim for damages.

Article 9 (Suspension of Service)
1. When corresponding to any of the following items, the Company may suspend the provision of all or a part of the Service:
(1) a failure occurs in the equipment used by the Company for providing the Service, or such equipment is to undergo maintenance and inspection or improvement and repair;
(2) the Service cannot be provided due to a fire, blackout, calamity or any other force majeure event; or
(3) the Company otherwise deems that the provision of the Service is difficult.
2. When the Company is to suspend the provision of the Service pursuant to the provisions of the preceding paragraph, the Company shall notify the User in advance according to a method deemed appropriate by the Company; save for cases of emergency.

Article 10 (Change / Discontinuation of Service)
The Company may change the content, name and other details of the Service (including the Contents), and suspend the distribution of the Contents, without requiring any prior announcement or notice to the User.

Article 11 (Liability)
1. If the User causes damage to or inflicts loss on a third party, including other Users, as a result of using the Service, the Company and the provider of the Contents shall not be liable in any way therefor, and the User shall, under one’s own responsibility and cost burden, resolve such damage suffered or loss incurred by the third party as well as all problems related thereto, and shall not impose any burden on the Company and the provider of the Contents.
2. If the User causes damage to the Company or the provider of the Contents as a result of breaching these Terms or engaging in a fraudulent or illegal act, the Company and the provider of the Contents may seek damages against the User.
3. The Company may suspend, discontinue or abolish all or a part of the Service without having to obtain the User’s approval. Even if the provision of the Service is delayed, suspended, discontinued or abolished, to the extent permitted by the applicable laws, the Company shall not be liable for any damage that was consequently suffered by the User unless such damage was caused by the Company’s willful misconduct or gross negligence.
4. To the extent permitted by the applicable laws, the Company shall not be liable for any damage that is suffered by the User as a result of using the Service, irrespective of the mode of use, unless such damage was caused by the Company’s willful misconduct or gross negligence.

Article 12 (Management of Registered Information)
1. The User must not allow a third party to use one’s email address or ID, or assign or sell the same to a third party.
2. The User shall manage one’s email address and ID under one’s own responsibility, and the User shall be liable for any damage caused by the inadequate management or erroneous use of the foregoing information, or the use of the foregoing information by a third party, and the Company shall not be liable in any way therefor.

Article 13 (Handling of Personal Information, etc.)
The User’s information acquired by the Company in connection with the Service shall be handled in accordance with the Privacy Policy. [Privacy Policy]

Article 14 (No Transfer, etc. of Rights and Obligations)
No User may transfer, lease, create a pledge or any other security on, or otherwise in any way dispose all or a part of one’s rights and obligations under these Terms.

Article 15 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan. Any and all legal action related to these Terms or the Service shall be submitted to the Tokyo District Court as the court of exclusive jurisdiction for the first instance.

Article 16 (Consultation)
If any doubts arise regarding matters that are not prescribed herein or in the interpretation of the respective provisions hereof, the Company and the User shall consult in good faith and resolve such doubts.

Article 17 (Language)
In addition to the English version, these Terms may be translated into the language of the Service area. If there is any inconsistency in the meaning or wording between the English version and the translated version, the English version shall prevail.


Supplementary Provision
These Terms were formulated and enforced on July 10, 2020.

Please read these Terms carefully before using the Service. If Users do not agree to these Terms, they must not use the Service.

  • 2. At the time that the User starts using the Service, it shall be deemed that the User has agreed to the subject matter of these Terms, and further agreed that these Terms constitute a legal contract between the Company and the User.
  • 3. The User shall comply with these Terms.
  • 4. If any change, addition, amendment, deletion or the like (collectively, “Change”) becomes required in these Terms, the Company may Change these Terms in a reasonable and adequate manner to the extent that such Change will not be in conflict with the purpose of these Terms before such Change.
  • 5. When the Company is to Change these Terms, the Company will notify the User of the subject matter of the Change and the timing that these Terms after the Change will come into effect by posting the same on the Site a reasonable period before the Change. Users shall be responsible for reviewing and becoming familiar with any Changes. By continuing to access and use the Service following such Changes, the User agrees to those Changes to these Terms.

  • 4. “Service” means the service provided by the Company for the User to view the Contents, for a fee, using a terminal that is compatible with the Service.
  • 5. “User” means the individual to use the Service.
Article 3 (The Service and the Service Fee)
  • 1. In return for the Company allowing the User to use the Service and purchase individual Content, the User shall pay the prescribed fee (“Service Fee”) posted on the Site. The viewing period of the Content shall be posted on the Site.
  • 2. The User shall confirm, as needed, information such as the amount and other terms of payment of the latest Service Fee, and the viewing period of the Content, of the Service that the User is using.
  • 3. The User shall have the right to cancel its purchase of individual Content and receive a full refund from the Company, within 14 days of the User making the purchase of such Content provided they have not viewed or accessed the Content (as applicable) prior to making their request to cancel provided that:
    • a. that if a User views or accesses the Content prior to the end of said 14 day cancellation period, they will automatically waive their 14 day right to cancel under this Article 3(3) in order view, download or access such Content; and
    • b. if the Content in question is a ticket to view an event (and/or a recording of such event) on a single occasion on a specific date, then the User shall not have the right to cancel the purchase of such Content under this Article 3(3).
  • 4. The Company may provide certain portions and/or the entirety of the Service under licence from, or in conjunction with, certain third parties and their affiliates and/or suppliers (“Third Party Providers”).
  • 5. The User acknowledges and agrees that:
    • a. the Service has not been developed to meet the User’s individual requirements;
    • b. to the extent permitted by applicable laws and regulations, any software or other functionality provided by the Company or any of its third party providers as part of the Service will be provided “as is”;
    • c. any systems or devices the User may use to access the Service are beyond the Company’s control and the Company shall not be responsible for the operation or security of any such devices or systems;
    • d. information and telecommunications systems are not error-free; and
    • e. the provision of any internet-based service may be subject to disruption.
Article 4 (Application for Using Service)
  • 1. In order to use the Service, the User shall register an account and their email address on the Site as the User’s ID (“ID”). The User may use one’s ID validly during the viewing period of the Content purchased by the User based on the foregoing registration. By registering and creating an account, the User agrees that it has read, understood, and accept all of the terms and conditions contained in these Terms, as well as the Company’s Privacy Policy and Cookie Policy.
  • 2. If the User of the Service is a minor, the User shall obtain the prior consent of one’s parent or other legal representative/guardian before using the Service, and the use of the Service by that User shall be conducted under the consent and responsibilities of one’s parent or other legal representative/guardian.
  • 3. The User shall ensure that any information provided by the User to the Company, including any contact details, remains up-to-date and accurate. If there is any error in the personal information when purchasing Content, the User may not use the Service. If the User does not receive a message from the User because their contact details are incorrect or out of date, the Company shall still be deemed to have notified the User.
  • 4. Subject to Article 3(3) and applicable law, any Content purchased in the Service may not be cancelled and the Service Fee, once paid, will not be refunded. Even if the same Content is purchased multiple times in the Service due to the User’s input error or problems with the User’s communication environment, the Company will not be liable in any way unless it was caused by the Company’s willful misconduct or gross negligence.
  • 5. The User shall not use another User’s account or ID to access the Service and shall not allow any third party to use such User’s account or ID.
  • 6. The User shall properly manage the information related to such User’s own account, including the ID and password. The User shall be responsible for all acts and results of using the Service with such User’s own account.
  • 7. The User may withdraw from the Service (delete such User’s Account) at any time through the procedures prescribed by the Company. Upon withdrawal, the User shall lose all rights under these Terms.
Article 5 (Ownership of Rights)
  • 1. Copyrights of all information, including the Content, in the Service shall belong to the Company, or the relevant Third Party Provider or the provider or original right holder of the Content who licensed these rights to the Company (together the “Content Rights Holders”).
  • 2. The User may not use (including, but not limited to, acts of replication, falsification and distribution) the Content and information on the Site beyond the scope permitted under laws, such as for private use.
  • 3. The User grants the Company a non-exclusive, perpetual, royalty-free, transferable, sublicensable, worldwide, irrevocable and unrestricted licence to use all information provided by the User to the Company when using the Service (including any data) and all information relating to activities on the Service.
  • 4. The User hereby grants the Company the non-exclusive right, perpetual, royalty-free, transferable, worldwide and unrestricted licence (with the right to sublicense the same) to use any image, sound, text or other information posted or transmitted by the User in connection with the Service (the “Posted Content”) (such use includes reproduction, distribution, public transmission, partial omission, displaying, publishing, storing, and other adaptations), in the entire Service area, without charge, by the Company or any party designated by the Company, to the extent permitted by applicable laws. The User also agrees to waive or not exercise any moral rights of the author regarding the Posted Content. It is the User’s responsibility to confirm that the Posted Content does not infringe upon the rights of third parties and otherwise conforms to the contents of these Terms.
  • 5. The Company may take any action, including deletion from the Service, regarding any Posted Content that the Company deems to be in violation of these Terms or to be inappropriate, without any notice to the User. the Company shall not be liable to the User for such action.
  • 6. Users acknowledge and agree that the Company’s ability to provide the Service is subject to the rights, licences and permissions it obtains from Third Party Providers.
Article 6 (Recommended System Requirements)
The recommended system requirements of the Service will be set out by the Company and posted on the Site.
Article 7 (Preparation of Equipment, etc.)
  • 1. The User is responsible for ensuring, at its own cost, it has the appropriate means and/or devices which enables the use of and access to the Service in accordance with the recommended system requirements set out under Article 6, including, but not limited to, having compatible and appropriate equipment and software and an internet connection which is optimal for accessing or streaming any Content.
  • 2. Any costs the User incurs in order to comply with Article 7(1) shall be borne by the User and the Company shall not be responsible for a User’s failure to comply with this Article 7.
Article 8 (Prohibited Acts)
  • 1. The User may use the Service and view the Content only according to the Company’s instructions.
  • 2. The User shall not attempt or conduct any of the following acts and shall not cooperate with or promote any of such acts by any third party:
    • (1) act of infringing upon, or act which may infringe upon, the copyrights, trademark rights and other intellectual property rights, portrait rights, privacy or other rights in the Service, including the contents and information of the Service;
    • (2) downloading, distributing, making available for public transmission, modifying, operating, reverse engineering, decompiling, disassembling, erasing, etc. of all or any part of the Service beyond the scope expressly authorized by the Company (including the case of disabling or avoiding functions such as content protection and access control, or intentionally misusing defects in the Service);
    • (3) using information obtained from the Service for commercial purposes;
    • (4) collection or use, or disclosure or provision to a third party, of personal information, other privacy related information, or confidential information such as IDs, passwords, of others;
    • (5) act of providing, assigning or selling the User’s email address or ID to a third party;
    • (6) act of using or providing, through or in relation to the Service, a computer virus or any other harmful program or files that interfere with the proper operation of, obstruct/control the operations of, or browse/acquire or damage the data from, information terminals, network devices, systems, etc. managed by the Company or third parties, into or in such information terminals;
    • (7) act of violating, or act which may violate, any laws, regulations, court decisions or other legally binding dispositions by a public authority;
    • (8) bullying, harassment or any other act of obstructing the smooth use of the Service by other Users (including sending false information or spam or interfering with the communications of other Users);
    • (9) act of breaching these Terms; and
    • (10) any other act deemed inappropriate by the Company.
Article 9 (Suspension of Service)
  • 1. If any of the following events occur, the Company may suspend the provision of all or a part of the Service:
    • (1) a failure occurs in the equipment or infrastructure (including, but not limited to, failure of a telecommunications network or utility service) used by the Company for providing the Service, or such equipment and/or infrastructure is to undergo maintenance and inspection or improvement and repair;
    • (2) the Service cannot be provided due to an act of god, a fire, blackout, calamity, pandemic or any other event beyond the Company’s reasonable control.
  • 2. When the Company is to suspend the provision of the Service pursuant to the provisions of the preceding paragraph, the Company shall notify the User in advance according to a method deemed appropriate by the Company; save for cases of emergency.
Article 10 (Change / Discontinuation of Service)
The Company may, at its discretion, change the content, name and other details of the Service (including the Content), and suspend the distribution of the Content, without requiring any prior announcement or notice to the User.
Article 11 (Liability)
  • 1. If the User causes damage to or inflicts loss on a third party, including other Users, as a result of using the Service, the Company and/or the provider of the Content shall not be liable in any way therefor, and the User shall, under its own responsibility and cost, resolve such damage suffered or loss incurred by the third party as well as all problems related thereto, and shall not impose any burden on the Company and/or the provider of the Content.
  • 2. If the User causes damage to the Company, a Third Party Provider or the provider of the Content as a result of breaching these Terms or engaging in a fraudulent or illegal act, the Company, a Third Party Provider and/or the provider of the Content may seek damages against the User.
  • 3. The Company may suspend, discontinue or abolish all or a part of the Service without having to obtain the User’s approval. Even if the provision of the Service is delayed, suspended, discontinued or abolished, the Company shall not be liable for any damage that was consequently suffered by the User subject to Article 11(6).
  • 4. To the extent permitted by the applicable laws, the Company shall not be liable for any damage that is suffered by the User as a result of using the Service, irrespective of the mode of use, unless such damage was caused by the Company’s willful misconduct or gross negligence or if the User is a resident of New Jersey, USA.
  • 4. If the Company fails to comply with these Terms, it is responsible for loss or damage the User suffers that is a foreseeable result of breaching these Terms or the Company’s failing to use reasonable care and skill, but the Company is not responsible for any loss or damage that is not foreseeable.
  • 5. If Content which the Company has supplied damages a device or digital content belonging to a User and this is caused by the Company’s failure to use reasonable care and skill the Company will either repair the damage or pay the User compensation. However, the Company will not be liable for damage which a User could have avoided by following its advice to apply an update offered to the User free of charge or for damage which was caused by a User failing to correctly follow installation instructions or to have in place the minimum system requirements and preparation of equipment advised by the Company as per Articles 6 and 7 of these Terms.
  • 6. Notwithstanding any other provision of these Terms, and to the extent permitted by applicable laws, in the event of any damages suffered by the User due to the Company’s default, the Company shall be liable for such damages only to the extent of the damage normally incurred by the User and the Company’s aggregate liability to the User will be limited to the total amount of Service Fees paid by the User to the Company in the preceding three (3) month period from the date of the event of such loss occurring, and shall not be liable for any losses:
    • a. that were not foreseeable by either party when the User agrees to these Terms;
    • b. not caused by a breach on the Company’s part; or
    • c. which are business (including a loss of business opportunities) and/or non-consumer losses.
  • 7. The Company will not be exempted from liability for (i) fraud or fraudulent misrepresentation; (ii) death or personal injury caused by the Company’s negligence; and (iii) breach of the User’s legal rights under, or implied by, applicable consumer rights laws in the User’s jurisdiction.
Article 12 (Management of Registered Information)
  • 1. The User must not allow a third party to use one’s email address or ID, or assign or sell the same to a third party.
  • 2. The User shall manage one’s email address and ID under one’s own responsibility, and the User shall be liable for any damage caused by the inadequate management or erroneous use of the foregoing information, or the use of the foregoing information by a third party, and the Company shall not be liable in any way therefor.
Article 13 (Handling of Personal Information, etc.)
  • 1. The User’s information acquired by the Company in connection with the Service shall be treated in accordance with the Company’s Privacy Policy.
    2. The Service uses cookies. For more information, please refer to the Company’s Cookie Policy.
Article 14 (No Transfer, etc. of Rights and Obligations)
  • 1. No User may transfer, assign, lease, create a pledge or any other security on, or otherwise in any way dispose all or a part of its rights and obligations under these Terms to another party.
  • 2. The Company may assign, transfer or sub-contract its obligations or rights under these Terms (in whole or in part) to its affiliates or Third Party Providers.
Article 15 (Governing Law)
These Terms (including any relevant non-contractual obligations) shall be governed by the laws of Japan. Nothing in these Terms will reduce any applicable statutory rights the User has (including any rights under applicable consumer rights laws in the User’s jurisdiction).
Article 16 (Agreed Jurisdiction)
Any and all legal action related to these Terms or the Service (including any relevant non-contractual obligations) shall be submitted to the Tokyo District Court as the competent court of agreed jurisdiction for the first instance.
Article 17 (Consultation)
If any doubts arise regarding matters that are not prescribed herein or in the interpretation of the respective provisions hereof, the Company and the User shall consult in good faith and resolve such doubts.
Article 18 (Miscellaneous)
  • 1. Any information, notice or communication from the Company to Users regarding the Service shall be made by posting on the website of the Service or any other method as the Company deems appropriate. the Company shall not be liable for any damages or other consequences of non-delivery or delay of such information, notice or communication, except where such damages or consequences are attributable to the Company.
  • 2. If any provision of these Terms is held to be invalid or unenforceable (in whole or in part) by any law, rule, order or regulation of any government or by the final determination of any court of competent jurisdiction, such invalidity or unenforceability shall not affect the other part of that provision or the other provisions of these Terms which shall remain in full force and effect.
  • 3. These Terms contains the whole agreement between the User and the Company relating to the Service and Content and supersedes all prior agreements, arrangements and understandings between the parties relating to that subject matter.
  • 4. The Content Right Holders and Third Party Providers shall be treated as third party beneficiaries of these Terms and may directly exercise the relevant rights or invoke the waiver of liability under these Terms. Except for Content Right Holders and Third Party Providers, no term of these Terms shall be enforceable by any person who is not a party to these Terms under applicable third party rights legislation.

Terms of Use of Paid Video Streaming Service

Article 1 (Scope of and Changes to these Terms)
  • 1. These Terms of Use of Paid Video Streaming Service (“these Terms”) shall apply to the user (“User”) of the Service (as defined below) in the Service area including the USA. in relation to the use of the viewing service (“Service”) of videos and other contents (“Contents”) provided by the Company (as defined below) on the paid video streaming site “Johnny’s net online” (“Site”) operated and managed by Johnny & Associates, Inc. (“Company”; the Company and the User collectively as the “Parties”).
  • 2. At the time that the User starts using the Service, it shall be deemed that the User has agreed to the subject matter of these Terms, and further agreed that these Terms constitute the subject matter of a contract between the Company and the User. The User understands that the User will have agreed to the contents of these Terms by checking the box stating that the User consents to the latest Terms of Service.
  • 3. The User is obligated to comply with these Terms in good faith.
  • 4. If any change, addition, amendment, deletion or the like (collectively, “Change”) becomes required in these Terms, the Company may Change these Terms in a reasonable and adequate manner to the extent that such Change will not be in conflict with the purpose of these Terms before such Change.
  • 5. When the Company is to Change these Terms, the Company will notify the User of the subject matter of the Change and the timing that these Terms after the Change will come into effect by posting the same on the Site a reasonable period before the Change.
  • 6. Once the Company properly provides the notification of the preceding paragraph to the User, these Terms after the Change shall apply to the User irrespective of whether the User is aware or unaware of the Change.
  • 7. The Service is not intended to be provided to children under the age of 13 years, and children under the age of 13 years may not use the Service.
Article 2 (Definitions)
Each of the following terms used in these Terms shall be defined as follows.
  • 1. “Company” means Johnny & Associates, Inc.
  • 2. “Site” means the website “Johnny’s net online” operated and managed by the Company.
  • 3. “Contents” means videos and other contents provided by the Company on the Site via streaming distribution.
  • 4. “Service” means the service provided by the Company for the User to view the Contents, for a fee, using a terminal that is compatible with the Service.
  • 5. “User” means the individual to use the Service.
Article 3 (Service Fee)
  • 1. When using the Service and purchasing individual Contents, the User shall pay the prescribed fee (“Service Fee”) posted on the Site. The viewing period of the Contents shall be posted on the Site.
  • 2. The User shall confirm, as needed, information such as the amount and other terms of payment of the latest Service Fee, and the viewing period of the Contents, of the Service that the User is using.
Article 4 (Application for Using Service)
  • 1. When using the Service, the User shall register one’s email address on the Site as the User’s ID (“ID”). The User may use one’s ID validly during the viewing period of the Contents purchased by the User based on the foregoing registration.
  • 2. If the User of the Service is a minor in the country, state or region in which the Service is used, the parent or guardian of such minor shall provide prior consent to these Terms on behalf of the minor, in accordance with the laws of such country, state or region, in using the Service, and authorize the registration of the ID in the preceding clause and purchasing tickets through the Service. A User who is a minor consents to the Company taking procedures to confirm the contact information and consent by the parent or guardian.
  • 3. When using the Service, the User shall agree to these Terms, and personally apply for the purchase of Contents according to the Company’s prescribed procedures. If there is any error in the personal information when purchasing the Contents, the User may not use the Service.
  • 4. Unless prohibited by law, the Contents purchased in the Service may not be cancelled and the Service Fee, once paid, will not be refunded. Even if the application for purchase is made redundantly and the same Contents are purchased multiple times in the Service due to the User’s input error or problems with the User’s communication environment, the Company will not be liable in any way unless it was caused by the Company’s willful misconduct or gross negligence.
Article 5 (Ownership of Rights)
  • 1. Copyrights (including the rights in Article 27 and Article 28 of the Copyright Law of Japan) of all information, including the Contents, in the Service shall belong to the Company or the provider of the Contents.
  • 2. The User may not use (including, but not limited to, acts of replication, falsification and distribution) the Contents and information on the Site beyond the scope permitted under laws, such as for private use.The Contents may not be used for commercial purposes.
Article 6 (Recommended System Requirements)
The recommended system requirements of the Service will be separately prescribed by the Company and posted on the Site.
Article 7 (Preparation of Equipment, etc.)
The User shall prepare, under one’s own responsibility and cost burden, an environment which enables the use of the Service including the preparation of communication equipment and software, and the conclusion of a phone service contract and an internet service contract. Any and all communication fees and interconnection fees related to the Service shall be borne by the User.
Article 8 (Prohibited Acts)
  • 1. The User may use the Service and view the Contents only according to the Company’s prescribed method, and the following acts are prohibited by the Company:
    • (1) act of infringing upon, or act which may infringe upon, the copyrights, trademark rights and other intellectual property rights, portrait rights, privacy or other rights in the Service, including the contents and information of the Service;
    • (2) act of commercially using information obtained from the Service;
    • (3) act of providing, assigning or selling the User’s email address or ID to a third party;
    • (4) act of using or providing, through or in relation to the Service, a computer virus or any other harmful program;
    • (5) act of violating, or act which may violate, laws;
    • (6) act of breaching these Terms; and
    • (7) any other act deemed inappropriate by the Company.
  • 2. If the User conducts any act corresponding to the preceding paragraph, the Company may suspend the use of the Service by the User without requiring any prior notice. In the foregoing case, to the extent permitted by law, the User shall immediately pay the Service Fee up to the time that the Company suspended the User’s use of the Service. The User who forfeited entitlement to use the Service pursuant to this paragraph will lose the rights to access and use the Service and may not exercise any rights. To the extent permitted by law, the User who forfeited entitlement to use the Service pursuant to this paragraph waives any right to claim damages arising out of or related in any way to such forfeiture.
Article 9 (Suspension of Service)
  • 1. The Company may suspend the provision of all or a part of the Service for any of the following reasons:
    • (1) a failure occurs in the equipment used by the Company for providing the Service, or such equipment is to undergo maintenance and inspection or improvement and repair;
    • (2) the Service cannot be provided due to a fire, blackout, calamity or any other force majeure event; or
    • (3) the Company otherwise deems that the provision of the Service is difficult, unreasonable under the circumstances, or unduly burdensome.
  • 2. When the Company is to suspend the provision of the Service pursuant to the provisions of the preceding paragraph, the Company shall notify the User in advance according to a method deemed appropriate by the Company; save for cases of emergency.
Article 10 (Change / Discontinuation of Service)
The Company may change the content, name and other details of the Service (including the Contents), and suspend the distribution of the Contents, without requiring any prior announcement or notice to the User, to the extent permitted by law.
Article 11 (Liability)

Article 15 (Governing Law, Jurisdiction and Third Party Beneficiary)
These Terms shall be governed by the laws of Japan. Any and all legal action related to these Terms or the Service shall be submitted to the Tokyo District Court as the competent court of agreed jurisdiction for the first instance; provided, however, that if the choice of law and/or the agreement regarding the competent court of agreed jurisdiction is determined to be invalid, the governing law shall be the laws of the State of Delaware, USA, and such legal action will be resolved by arbitration as set forth in Article 17. The arbitration shall take place where the User was a resident when the dispute arose, or other location agreed by the Parties.User agrees that Sony Music Solutions Inc. (“SMS”), which provides the platform for the Service, shall be deemed a beneficiary of these Terms to the same extent as the Company in the event that a claim is asserted against SMS that is in any way related to the Service, including but not limited to Articles 11, 15, 16 and 17.
Article 16 (Class Action and Waiver of Trial by Jury)
By agreeing to these Terms, the User agrees that the User is required to resolve any claim that the User may have against the Company concerning the Service or these Terms on an individual basis. The User agrees to waive any right the User may otherwise have to bring any class, collective or representative action, and is precluded from participating in or recovering relief under any current or future class, collective, consolidated or representative action against the Company by a third party. The Company and the User also agree to waive any right to a trial by jury.
Article 17 (Arbitration)
  • 1. Subject to the application of the proviso to Article 15 regarding jurisdiction, the arbitration will be conducted by the American Arbitration Association (“AAA”) under its rules and procedures (including the AAA's Consumer Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes, as applicable; “AAA Rules”), as modified by this agreement to arbitrate (“Agreement to Arbitrate”). The AAA Rules are available at www.adr.org. Notwithstanding any choice of law or other provision in these Terms, the Parties agree and acknowledge that this Agreement to Arbitrate evidences a transaction involving interstate commerce and that the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (“FAA”), will govern its interpretation and enforcement and proceedings pursuant thereto. It is the intent of the Parties that the FAA and the AAA Rules shall preempt all state laws to the fullest extent permitted by law. If the FAA and the AAA Rules are found to not apply to any issue that arises under this Agreement to Arbitrate or the enforcement thereof, then that issue shall be resolved under the laws of the state of Delaware. A party who intends to seek arbitration must first send the other party, by certified mail, a completed Notice of Dispute. The User should send this notice to the Company at Johnny & Associates, Inc.(9-6-35 Akasaka, Minato-ku, Tokyo 107-0052, Japan). The Company will send any notice to the User to the address the Company has on file associated with the User. It is the User’s responsibility to keep the User’s address up to date. All information called for in the notice must be provided, including a description of the nature and basis of the claims the party is asserting and the relief sought.
  • 2. If the User and the Company are unable to resolve the claims described in the notice within 30 days after the notice is sent, the User or the Company may initiate arbitration proceedings. A form for initiating arbitration proceedings is available on the AAA's website at www.adr.org. Unless both the User and the Company agree otherwise, the arbitrator(s) may not consolidate or join more than one person’s or party’s claims and may not otherwise preside over any form of a consolidated, representative, collective or class proceeding.
  • 3. If the value of the relief sought is USD10,000 or less, the User or the Company may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on the User and the Company, subject to the discretion of the arbitrator(s) to require an in-person hearing, if the circumstances warrant. In cases where an in-person hearing is held, the User or the Company may attend by telephone, unless the arbitrator(s) require otherwise. Any settlement offer made by the User or the Company shall not be disclosed to the arbitrator(s).
  • 4. The arbitrator(s) will decide the substance of all claims in accordance with applicable law, including recognized principles of equity, and will honor all claims of privilege recognized by law. The arbitrator(s) will not be bound by rulings in prior arbitrations involving different Users of the Company but is/are bound by rulings in prior arbitrations involving the same User to the extent required by applicable law. The award of the arbitrator(s) shall be final and binding, and a judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator(s) may award relief (including monetary, injunctive and declaratory) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party’s individual claim(s). Any relief awarded cannot affect any other Users of the Company.
  • 5. Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, unless otherwise stated in this Agreement to Arbitrate. If the value of the relief sought is USD10,000 or less, at the User’s request, the Company will pay all filing, administration, and arbitrator fees associated with the arbitration. Any request for payment of fees by the Company should be submitted by mail to the AAA along with the User’s Demand for Arbitration, and the Company will make arrangements to pay all necessary fees directly to the AAA. If the value of the relief sought is more than USD10,000 and the User is able to demonstrate that the costs of accessing arbitration will be prohibitive as compared to the costs of accessing a court for purposes of pursuing litigation on an individual basis, the Company will pay as much of the filing, administration, and arbitrator fees as the arbitrator(s) deem necessary to prevent the cost of accessing the arbitration from being prohibitive. In the event the arbitrator(s) determine the claim(s) the User asserts in the arbitration to be frivolous, the User agrees to reimburse the Company for all fees associated with the arbitration paid by the Company on the User’s behalf that the User otherwise would be obligated to pay under the AAA Rules.
  • 6. If a court decides that any part of the Agreement to Arbitrate in this Article is invalid or unenforceable, the other parts of this Article shall still apply.
Article 18 (Consultation)
If any doubts arise regarding matters that are not prescribed herein or in the interpretation of the respective provisions hereof, the Company and the User shall consult in good faith and resolve such doubts.
Article 19 (Miscellaneous)
  • 1. If the User provides an email address, the User shall be deemed to have consented to receiving information and notices from the Company at such email address, and notices to such email address shall satisfy any legal requirements required for any notices, including that such notices be in writing.
  • 2. Any User who is a resident of California, USA, and requires consumer assistance may contact the Company at Johnny & Associates, Inc.(9-6-35 Akasaka, Minato-ku, Tokyo 107-0052, Japan)( +1 833-470-0771). Article 20 (Removal of Postings of Minors)
  • 1. If the User is a minor who is a resident of California, USA, the User may remove any content that the User posted on the Service that is accessible by another User or may request the Company to remove the content.   • 2. A User who is a minor must understand that the removal of publicly accessible contents will not be a complete or comprehensive removal of such content or information.

Article 1 (Scope of and Changes to these Terms)
  • 1.These Terms of Use of Paid Video Streaming Service (“these Terms”) shall apply to the user (“User”) of the Service (as defined below) in relation to the use of the viewing service (“Service”) of videos and other contents (“Contents”) provided by the Company (as defined below) on the paid video streaming site “Johnny’s net online” (“Site”) operated and managed by Johnny & Associates, Inc. (“Company”) for customers in Japan.
  • 2.At the time that the User starts using the Service, it shall be deemed that the User has agreed to the subject matter of these Terms, and further agreed that these Terms constitute the subject matter of a contract between the Company and the User.
  • 3.The User is obligated to comply with these Terms in good faith.
  • 4.If any change, addition, amendment, deletion or the like (collectively, “Change”) becomes required in these Terms, the Company may Change these Terms in a reasonable and adequate manner to the extent that such Change will not be in conflict with the purpose of these Terms before such Change.
  • 5. When the Company is to Change these Terms, the Company will notify the User of the subject matter of the Change and the timing that these Terms after the Change will come into effect by posting the same on the Site a reasonable period before the Change.
  • 6. Once the Company properly provides the notification of the preceding paragraph to the User, these Terms after the Change shall apply to the User irrespective of whether the User is aware or unaware of the Change.
Article 2 (Definitions)
Each of the following terms used in these Terms shall be defined as follows.
  • 1. “Company” means Johnny & Associates, Inc.
  • 2. “Site” means the website “Johnny’s net online” operated and managed by the Company.
  • 3. “Contents” means videos and other contents provided by the Company on the Site via streaming distribution.
  • 4. “Service” means the service provided by the Company for the User to view the Contents, for a fee, using a terminal that is compatible with the Service.
  • 5. “User” means the individual to use the Service.
Article 3 (Service Fee)
  • 1. When using the Service and purchasing individual Contents, the User shall pay the prescribed fee (“Service Fee”) posted on the Site. The viewing period of the Contents shall be posted on the Site.
  • 2. The User shall confirm, as needed, information such as the amount and other terms of payment of the latest Service Fee, and the viewing period of the Contents, of the Service that the User is using.
Article 4 (Application for Using Service)
  • 1. When using the Service, the User shall register one’s email address on the Site as the User’s ID (“ID”). The User may use one’s ID validly during the viewing period of the Contents purchased by the User based on the foregoing registration.
  • 2. If the User of the Service is a minor, the User shall obtain the prior consent of one’s parent or other legal representative in using the Service, and the use of the Service by that User shall be conducted under the consent and responsibilities of one’s parent or other legal representative.
  • 3. When using the Service, the User shall agree to these Terms, and personally apply for the purchase of Contents according to the Company’s prescribed procedures. If there is any error in the personal information when purchasing the Contents, the User may not use the Service.
  • 4. The Contents purchased in the Service may not be cancelled and the Service Fee, once paid, will not be refunded. Even if the application for purchase is made redundantly and the same Contents are purchased multiple times in the Service due to the User’s input error or problems with the User’s communication environment, the Company will not be liable in any way unless it was caused by the Company’s willful misconduct or gross negligence.
Article 5 (Ownership of Rights)
  • 1. Copyrights of all information, including the Contents, in the Service shall belong to the Company or the provider of the Contents.
  • 2. The User may not use (including, but not limited to, acts of replication, falsification and distribution) the Contents and information on the Site beyond the scope permitted under laws, such as for private use.
Article 6 (Recommended System Requirements)
The recommended system requirements of the Service will be separately prescribed by the Company and posted on the Site.
Article 7 (Preparation of Equipment, etc.)
The User shall prepare, under one’s own responsibility and cost burden, an environment which enables the use of the Service including the preparation of communication equipment and software, and the conclusion of a phone service contract and an internet service contract. Any and all communication fees and interconnection fees related to the Service shall be borne by the User.
Article 8 (Prohibited Acts)
  • 1. The User may use the Service and view the Contents only according to the Company’s prescribed method, and the following acts are prohibited by the Company:
    • (1) act of infringing upon, or act which may infringe upon, the copyrights, trademark rights and other intellectual property rights, portrait rights, privacy or other rights in the Service, including the contents and information of the Service;
    • (2) act of commercially using information obtained from the Service;
    • (3) act of providing, assigning or selling the User’s email address or ID to a third party;
    • (4) act of using or providing, through or in relation to the Service, a computer virus or any other harmful program;
    • (5) act of violating, or act which may violate, laws;
    • (6) act of breaching these Terms; and
    • (7) any other act deemed inappropriate by the Company.
  • 2. If the User conducts any act corresponding to the preceding paragraph, the Company may suspend the use of the Service by the User without requiring any prior notice. In the foregoing case, the User shall immediately pay the Service Fee up to the time that the Company suspended the User’s use of the Service. The User that forfeited one’s entitlement to use the Service pursuant to this paragraph may not exercise any rights such as the right to claim for damages.
Article 9 (Suspension of Service)
  • 1. When corresponding to any of the following items, the Company may suspend the provision of all or a part of the Service:
    • (1) a failure occurs in the equipment used by the Company for providing the Service, or such equipment is to undergo maintenance and inspection or improvement and repair;
    • (2) the Service cannot be provided due to a fire, blackout, calamity or any other force majeure event; or
    • (3) the Company otherwise deems that the provision of the Service is difficult.
  • 2. When the Company is to suspend the provision of the Service pursuant to the provisions of the preceding paragraph, the Company shall notify the User in advance according to a method deemed appropriate by the Company; save for cases of emergency.
Article 10 (Change / Discontinuation of Service)
The Company may change the content, name and other details of the Service (including the Contents), and suspend the distribution of the Contents, without requiring any prior announcement or notice to the User.
Article 11 (Liability)
  • 1. If the User causes damage to or inflicts loss on a third party, including other Users, as a result of using the Service, the Company and the provider of the Contents shall not be liable in any way therefor, and the User shall, under one’s own responsibility and cost burden, resolve such damage suffered or loss incurred by the third party as well as all problems related thereto, and shall not impose any burden on the Company and the provider of the Contents.
  • 2. If the User causes damage to the Company or the provider of the Contents as a result of breaching these Terms or engaging in a fraudulent or illegal act, the Company and the provider of the Contents may seek damages against the User.
  • 3. The Company may suspend, discontinue or abolish all or a part of the Service without having to obtain the User’s approval. Even if the provision of the Service is delayed, suspended, discontinued or abolished, the Company shall not be liable for any damage that was consequently suffered by the User unless such damage was caused by the Company’s willful misconduct or gross negligence.
  • 4. The Company shall not be liable for any damage that is suffered by the User as a result of using the Service, irrespective of the mode of use, unless such damage was caused by the Company’s willful misconduct or gross negligence.
Article 12 (Management of Registered Information)
  • 1. The User must not allow a third party to use one’s email address or ID, or assign or sell the same to a third party.
  • 2. The User shall manage one’s email address and ID under one’s own responsibility, and the User shall be liable for any damage caused by the inadequate management or erroneous use of the foregoing information, or the use of the foregoing information by a third party, and the Company shall not be liable in any way therefor.
Article 13 (Handling of Personal Information, etc.)
  • 1. In order to maintain the personal information provided from the User in an accurate and updated state and prevent the unauthorized access, loss, damage, falsification or divulgence of personal information, the Company will strictly manage personal information by taking measures required for establishing a maintenance/management structure of a security system and thoroughly training its employees on the handling of personal information.
  • 2. The Company will use the personal information received from the User to the extent required for achieving the following purposes of use that are identified and announced in advance:
    • (1) sale and provision of the Service (acceptance of applications, settlement of fees, etc.);
    • (2) provision of services incidental to the preceding item (notification of change or discontinuation of the Service to the User, communication with the User for confirming matters deemed necessary for business by the Company, etc.);
    • (3) support services for replying to inquiries related to the Service;
    • (4) use and recording of access information (internet, mobile site, phone, etc.) for operating and managing the Service and replying to inquiries; and
    • (5) provision of information and posting of ads related to products and services of the Company or the Company’s business partner (limited to companies that have exchanged a nondisclosure agreement with the Company) which are currently being provided, or may be provided in the future.
  • 3. The Company may share the personal information received from the User with Young Communication Co., Ltd. to the following extent only when necessary. The administrator of personal information to be shared in the foregoing case shall be the Company.
    • (1) Information to be shared: Email address and membership number of Johnny’s Family Club (“JFC”)
    • (2) Purpose of use: When the User is a JFC member, to confirm that the User’s registration as a JFC member is valid, and for information management
    • (3) Administrator of sharing of personal information: Company
  • 4. The Company will not provide the personal information received from the User, without obtaining the consent of the principal, unless such provision of personal information corresponds to the following cases:
    • (1) cases based on laws and regulations;
    • (2) cases in which there is a need to protect a human life, body or fortune, and when it is difficult to obtain a principal's consent;
    • (3) cases in which there is a special need to enhance public hygiene or promote fostering healthy children, and when it is difficult to obtain a principal's consent; or
    • (4) cases in which there is a need to cooperate in regard to a central government organization or a local government, or a person entrusted by them performing affairs prescribed by laws and regulations, and when there is a possibility that obtaining a principal's consent would interfere with the performance of the said affairs.
  • 5. The Company may subcontract a part of the handling of the User’s personal information in the Service, and thereby provide the User’s personal information to the subcontractor. In the foregoing case, the Company will properly manage the User’s personal information by appointing a subcontractor recognized as a business operator that is handling personal information properly, and stipulating matters required for preventing the divulgence of personal information, such as the proper management and confidentiality of personal information, in a written contract or equivalent document.
  • 6. When the User wishes to request the disclosure, etc. (notification of purpose of use, disclosure, correction, addition or deletion of contents, cease of use, erasure, cease of third-party provision) of one’s personal information, the User shall make such request through the following contact information. Upon receiving the User’s request, the Company may request the presentation of an identity verification document for verifying that the request was indeed made by that User.
Article 14 (No Transfer, etc. of Rights and Obligations)
No User may transfer, lease, create a pledge or any other security on, or otherwise in any way dispose all or a part of one’s rights and obligations under these Terms.
Article 15 (Governing Law)
These Terms shall be governed by the laws of Japan.
Article 16 (Agreed Jurisdiction)
Any and all legal action related to these Terms or the Service shall be submitted to the Tokyo District Court as the competent court of agreed jurisdiction for the first instance.
Article 17 (Consultation)
If any doubts arise regarding matters that are not prescribed herein or in the interpretation of the respective provisions hereof, the Company and the User shall consult in good faith and resolve such doubts.
Supplementary Provision
These Terms were formulated and enforced on July 10, 2020.
